Pre-Distribution Service Credit. MSGS shall give each MSGS Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any MSGS Plan for such MSGS Participant’s service with any member of the Spinco Group prior to the Distribution Date to the same extent such service was recognized by the corresponding Spinco Plans immediately prior to the Distribution Date; provided, however, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. SNI shall give each SNI Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any SNI Benefit Plan for such SNI Participant’s service with any member of the EWS Group prior to the Distribution Date to the same extent such service was recognized by the corresponding EWS Benefit Plans immediately prior to the Distribution Date; provided, however, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. Spinco shall give each Spinco Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any Spinco Plan for such Spinco Participant’s service with any member of the MSG Networks Group prior to the Distribution Date to the same extent such service was recognized by the corresponding MSG Networks Plans immediately prior to the Distribution Date; provided, however, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. FTD shall give each FTD Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any FTD Benefit Plan for such FTD Participant’s service with United Online or any of its Subsidiaries prior to the Distribution Date to the same extent such service was recognized by the applicable Benefit Plans immediately prior to the Distribution Date and United Online shall give each UOL Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any UOL Benefit Plan for such UOL Participant’s service with United Online or any of its Subsidiaries prior to the Distribution Date to the same extent such service was recognized by the applicable Benefit Plans immediately prior to the Distribution Date; provided that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. Spectra Energy shall give each Spectra Energy Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any Spectra Energy Benefit Plan for such Spectra Energy Participant’s service with any member of the Duke Energy Group prior to the Distribution Date to the same extent such service was recognized by the applicable Duke Energy Benefit Plans immediately prior to the Distribution Date; provided, that, such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. New A&B shall give each New A&B Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any New A&B Benefit Plan for such New A&B Participant’s service with Holdings or any of its Subsidiaries prior to the Distribution Date to the same extent such service was recognized by the applicable Benefit Plans immediately prior to the Distribution Date and Holdings shall give each Holdings Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any Holdings Benefit Plan for such Holdings Participant’s service with Holdings or any of its Subsidiaries prior to the Distribution Date to the same extent such service was recognized by the applicable Benefit Plans immediately prior to the Distribution Date; provided, that, such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. MSG Entertainment shall give each MSG Entertainment Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any MSG Entertainment Plan for such MSG Entertainment Participant’s service with any member of the Spinco Group prior to the Distribution Date to the same extent such service was recognized by the corresponding Spinco Plans immediately prior to the Distribution Date; provided, however, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.
Pre-Distribution Service Credit. With respect to Xenia Participants, each Xenia Benefit Plan shall provide that all service, all compensation and all other benefit-affecting determinations (including with respect to vesting) that, as of immediately prior to the Effective Time, were recognized under a corresponding Inland American Benefit Plan (or would have been recognized under a corresponding Inland American Benefit Plan in which such Xenia Participant was eligible to participate immediately prior to the Effective Time, had such Xenia Participant actually participated in such corresponding Inland American Benefit Plan) shall, as of immediately after the Effective Time or any subsequent effective date for such Xenia Benefit Plan, receive full recognition, credit and validity and be taken into account under such Xenia Benefit Plan to the same extent as credit was (or would have been) recognized under such Inland American Benefit Plan, except (i) to the extent that duplication of benefits would result or (ii) for benefit accrual under any defined benefit pension plan.
Pre-Distribution Service Credit. Wireline shall give each Wireline Participant and Delayed Transfer Employee full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any Wireline Benefit Plan for such Wireline Participant’s or Delayed Transfer Employee’s service with any member of the NTELOS Group prior to the Distribution Date or applicable Transfer Date to the same extent such service was recognized by the corresponding NTELOS Benefit Plan immediately prior to the Distribution Date or applicable Transfer Date; provided, however, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits under a Wireline Benefit Plan and an NTELOS Benefit Plan.
Pre-Distribution Service Credit. With respect to RemainCo Participants, each RemainCo Benefit Plan shall provide that all service, all compensation and all other benefit-affecting determinations (including with respect to vesting) that, as of immediately prior to the Effective Time, (A) were recognized under the corresponding SpinCo Benefit Plan, or (B) would have been recognized under the corresponding SpinCo Benefit Plan in which such RemainCo Participant was eligible to participate immediately prior to the Effective Time, had such RemainCo Participant actually participated in such corresponding SpinCo Benefit Plan, shall be taken into account under such RemainCo Benefit Plan to the same extent as credit was (or would have been) recognized under the corresponding SpinCo Benefit Plan, except to the extent that duplication of benefits would result.
