To the best of its knowledge, Yinhang Nevada, and each of Yinhang HK, Huashang and the VIEs, is in compliance with all applicable laws and regulations of the PRC and the provincial and local governments in which it is located or conducts business, and all material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of their respective businesses have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. To the best of their knowledge, Dragons’ subsidiaries in PRC and Huludao Rescue are in compliance with all applicable PRC laws and regulations. All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of Dragons’ subsidiaries in PRC and Huludao Rescue doing business in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. To the best of their knowledge, World Win’s subsidiaries in PRC and Shenzhen Wonhe are in compliance with all applicable PRC laws and regulations. All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of World Win’s subsidiaries in PRC and Shenzhen Wonhe doing business in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. Target is in compliance with all applicable laws and regulations of the PRC and the provincial and local governments in which it is located or conducts business, except to the extent that noncompliance would not materially and adversely affect its business, operations, properties, assets, or condition, or result in the occurrence of any material liability, and all material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of its business have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. To the best of its knowledge, Fanwei Hengchang’s subsidiaries in PRC and Fujian Tianfeihong are in compliance with all applicable PRC laws and regulations. All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of Fanwei Hengchang’s subsidiaries in PRC and Fujian Tianfeihong doing business in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. To the best of their knowledge, Gold Promise and its subsidiary are in compliance with all applicable PRC laws and regulations (including but not limited to all laws and regulations governing the Special Administrative Region of Hong Kong and the People’s Republic of China). All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of Gold Promise’s subsidiary doing business in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. Baosheng is in compliance with all applicable PRC laws and regulations. All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of Baosheng have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.

To the best of its knowledge, each of the Company’s subsidiaries is in compliance with all applicable laws and regulations of the PRC and Jilin Province and of each other locality located therein. All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of the Company’s subsidiaries doing business in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
PRC Laws and Regulations. To the best of their knowledge, Beijing Tongzhilian is in compliance with all applicable laws and regulations of the People’s Republic of China (“PRC”). All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of Beijing Tongzhilian in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.

To the best of their knowledge, China Digital and its subsidiaries are in compliance with all applicable PRC laws and regulations (including but not limited to all laws and regulations governing the Special Administrative Region of Hong Kong and the People’s Republic of China). All material consents, approvals, authorizations or licenses requisite under PRC law for the due and proper establishment and operation of China Digital’s subsidiary doing business in the PRC have been duly obtained from the relevant PRC governmental authorities and are in full force and effect.
