Practice of Dentistry. The Parties acknowledge and agree that: (a) --------------------- Service Company is not authorized or qualified to engage in any activity that may be construed or deemed to constitute the practice of dentistry; and (b) notwithstanding anything in this agreement to the contrary (i) Provider, through its dentists, shall be solely responsible for and shall have complete authority, responsibility, supervision, and control over the provision of all Dental Care and that all Dental Care shall be provided and performed exclusively by or under the supervision of dentists as such dentists, in their sole discretion, deem appropriate, (ii) Service Company shall not have or exercise any control or supervision over the provision of Dental Care, and (iii) to the extent any act or service required of Service Company under this agreement is reasonably likely to be construed by a court of competent jurisdiction or by any applicable governmental agency to constitute the practice of dentistry, the requirement to perform that act or service by Service Company shall be deemed waived and unenforceable. For purposes of this agreement and as the context permits, the term "dentist" shall be deemed to include those individuals licensed by the State of Wisconsin to practice general dentistry or a dental care specialty such as orthodontics, endodontics, periodontics, prosthodontics, pediatric dentistry, oral surgery, and oral medicine.

Practice of Dentistry. The parties acknowledge that Business Manager is not authorized or qualified to engage in any activity that may be construed or deemed to constitute the practice of dentistry nor shall Business Manager now or in the future be regarded as practicing dentistry within the meaning of the Act. To the extent any act or service herein required by Business Manager should be construed by a court of competent jurisdiction or by the State Board of Dental Examiners to constitute the practice of dentistry, the requirement to perform that act or service by Business Manager shall be deemed waived and unenforceable and shall not constitute a breach or default by Business Manager under this Agreement.
Practice of Dentistry. Provider and Dentist(s) will be in control of all aspects of the actual practice of dentistry at the Dental Office and shall be responsible for all patient diagnosis, treatment, therapy, prescription of drugs, and for the creation and maintenance of all dental patient reports and records. If any act or service herein required by the Operative Documents to be performed by Dental Cooperative is construed by a court of competent jurisdiction or by a State licensing authority to constitute the unlawful practice of dentistry, the requirement to perform that act or service by Dental Cooperative shall be deemed waived and unenforceable and shall not constitute a breach or default by Dental Cooperative under any Operative Document.
Practice of Dentistry. P.A. shall be solely and exclusively in control of all clinical aspects of the practice of dentistry and the delivery of Dental Services at the Dental Centers, including the exercise of independent professional judgment regarding the diagnosis or treatment of any dental disease, disorder or physical condition (which Service Company shall not control, attempt to control, influence, attempt to influence or otherwise interfere with), and P.A. shall be responsible for providing all Dental Services and for the payment of all Costs of Dental Services. All persons to whom such Dental Services are provided shall be patients of P.A. and not of Service Company, and Service Company shall not have or exercise any control or direction over the manner or methods with which Dental Services and related duties are performed or interfere in any way with the exercise by the dentists who are employees or independent contractors of P.A. of their professional judgment. P.A. shall be solely responsible for assuring that all dentists who are employed or who are independent contractors of P.A. hold all necessary licenses from the State of Arkansas and that such licenses are current and in good standing, and that such professional services are performed in accordance with the applicable ethical standards, laws and regulations relating to professional practice in the State of Arkansas. P.A. shall take all actions necessary to maintain its status as a professional corporation including provision for succession so that the outstanding shares of P.A. are owned at all times by a person licensed to practice dentistry in the State of Arkansas.

To the extent any act or service herein required by Business Manager should be construed by a court of competent jurisdiction or by the State Board of Dental Examiners to constitute the practice of dentistry, the requirement to perform that act or service by Business Manager shall be deemed waived and unenforceable and shall not constitute a breach or default by Business Manager under this Agreement, and the parties shall take the actions contemplated by Section 7.2(d) hereof.

Practice of Dentistry. P.A. shall be solely and exclusively in control of all clinical aspects of the practice of dentistry and the delivery of Dental Services at the Dental Centers and P.A. shall be responsible for providing all Dental Services and for the payment of all Costs of Dental Services. P.A. shall be solely and exclusively in control of the operation of the Dental Centers and any other office or place of business where dental services are provided by P.A. All persons to whom such Dental Services are provided shall be patients of P.A. and not of Service Company, and Service Company shall not have or exercise any control or direction over the manner or methods with which Dental Services and related duties are performed or interfere in any way with the exercise by the dentists who are employees or independent contractors of P.A. of their professional judgment. Nothing in this Agreement shall be deemed to alter, change or abridge the relationship between P.A. dentists and P.A. patients. P.A. shall be solely responsible for assuring that all dentists who are employed or who are independent contractors of P.A. hold all necessary licenses from the State of Louisiana and any other jurisdictions in which the P.A. does business, that such licenses are current and in good standing, and that such professional services are performed in accordance with the applicable ethical standards, laws and regulations relating to professional practice in the State of Louisiana. P.A. shall take all actions necessary to maintain its status as a professional corporation including provision for succession so that the outstanding shares of P.A. are owned at all times by a person licensed to practice dentistry in the State of Louisiana.

To the extent any act or service herein required by Manager should be construed by a court of competent jurisdiction to constitute the practice of dentistry, the requirement to perform that act or service by Manager shall be deemed waived and unenforceable.
Practice of Dentistry. The parties hereto acknowledge that UDC is not authorized or qualified to engage in any activity which may be construed or deemed to constitute the practice of dentistry and that nothing herein shall be construed as the practice of dentistry by UDC. To the extent any act or service required to UDC is construed or deemed to constitute the practice of dentistry, UDC is released from any obligation to provide such act or service without otherwise affecting the terms of this Agreement.
