Common use of Power; Binding Agreement Clause in Contracts

Power; Binding Agreement. Parent has the corporate power and authority to enter into and perform all of its obligations under this Agreement. The execution, delivery and performance of this Agreement by Parent will not violate any other agreement, arrangement or understanding (in each case, oral or written) to which Parent is a party. This Agreement has been duly and validly executed and delivered by Parent and, assuming that this Agreement has been duly executed and delivered by the other party hereto, constitutes a valid and binding agreement of Parent, enforceable against Parent in accordance with its terms.
