Positive Pay Service. This Service is designed primarily to help you protect against fraud. Our Positive Pay Services include: Standard Positive Pay that compares cleared checks with issued checks; Positive Pay with Payee Match, that compares payee name data to the payee name on the check; reverse Positive Pay, that treats all items presented to Bank for payment as Exceptions to payment; and ACH Positive Pay, that determines ACH debit entries to post against your account. All of these services allow you to review transactions not previously authorized by you before they post to your account. To prevent erroneous returns, training may be required before some Positive Pay Services can be fully activated.

Positive Pay Service. If you request this online Service and provide us with the dates that the checks are issued, check numbers, EXACT dollar and cent amounts, and Account numbers on checks that you issue on a designated Account (“Check Issuance Data”), we will compare that Check Issuance Data with the information encoded on items presented to us for payment against that Account. If the information matches, we will treat the matching items as validly issued and properlypayable, and will process such items for payment. If the information does not match or the item is otherwise deemed to be an Exception Item (defined below), we will use the Service to provide you with an Exception Report (“Exception Report”) that describes each exception item and the reason for the exception. You must then instruct us if you want us to pay or return an Exception Item. You authorize us to act in accordance with your pay/return default election if we do not receive your instruction for any reason by the Cutoff Time for such instructions. We may refuse to pay any item if there are insufficient funds in your Account to cover the item. Please review the Section entitled “Fraud Detection and Prevention – Positive Pay/ACH Positive Pay – Indemnification” in the General Provisions below if you do not enroll in our Positive Pay Service in connection with your checking services.
Positive Pay Service. The Positive Pay Service will provide fraud protection assistance by comparing the checks paid on Customer’s designated account against the checks issued from Customer’s records. If Customer has requested Positive Pay services, the terms and conditions of this Section 29 form part of this Agreement.
Positive Pay Service. Account Reconciliation Service customers who participate in our Positive Pay Service can instruct us not to pay certain items presented against their accounts. If our Account Reconciliation reports of checks presented against your account matches the information you provide to us regarding the checks you have issued, you agree that we may treat the matching items as validly issued and properly payable, and that we may process such items for payment. If the information does not match, we will reject and return the non-matching items (unless you and we agree on another procedure).
Positive Pay Service. If you are approved for this Service, you will be subject to the terms of the Positive Pay Agreement, as amended from time to time. Positive pay is a service designed to empower customers with the ability to prevent financial loss due to check fraud or ACH fraud. Transfer Service. Transfers between your deposit accounts with us are subject to the terms of your deposit agreement. You may instruct our electronic system to make transfers between your accounts at any time on any day. Mobile Banking Service. You will be subject to the terms and conditions for the Mobile Banking Service. You will be able to access your accounts and other Services using your mobile device. Unauthorized Transactions. We may process any payment or transfer instruction (including an amendment or cancellation instruction) that we believe is transmitted or authorized by you if we act in compliance with the security procedures (e.g. we obtain the Passwords) you and we have agreed upon for the Service. The instructions will be deemed effective as if made by you and you will be obligated to pay us in the amount of such transactions, even though they are not transmitted or authorized by you. We may elect to verify the authenticity or content of any instruction, as an alternative security procedure, by placing a call to any authorized signer on your account or any other person designated by you for that purpose. If we are unable to verify an instruction to our satisfaction, we may reject the instruction. Transaction Limits and Safeguards. You agree not to exceed the Service transaction limits we establish from time to time for your account (e.g., in connection with ACH transactions, Remote Deposit, or Wires.) You agree that you will not allow anyone to initiate transfer or payment instructions on your behalf without proper supervision and adequate safeguards, and that you will receive pending payment and transfer instructions prior to their submission to us to ensure that they are complete, accurate and properly authorized. Secure Messaging. Sending a secure message through Online Banking is a secure way to communicate with the bank. Secure messaging has provided an option for you to ask questions about your account(s) or to provide us comments on your banking service. The secure messaging capability is accessible after you sign on with your Username, password, or when applicable, a security token to a secure session with Online Banking. Positive Pay Service. This Service provides you with a way to identify and prevent the payment of checks that you have not authorized.
Positive Pay Service. You may select Positive Pay services for checks and shall note your selection on the Specifications. If you elect to utilize Positive Pay, you shall manually enter into, or import from your accounting system into, our Positive Pay system, or otherwise transmit to us, directly or through a third party acceptable to us, in accordance with procedures specified by us from time to time, a file of checks issued each Business Day no later than the Bank-established cut-off time for issued items. We or our Service Provider will match all presented checks with the account number, serial number, and dollar amount to determine if the check is valid and provide an electronic list of exceptions (the “Exception Report”) to you the following Business Day. You shall promptly, but by no later than 12:00 PM MT, review the Exception Report and provide a pay/no pay decision for all exceptions. In the event that you do not make a funding decision as to any exception item in the manner summarized above, we may return the item, and you waive all right to dispute the non-payment of the item.

Positive Pay Service. You agree to establish prudent security standards and policies that include proper safeguards to protect the confidentiality of all Security Credentials. We may rely upon the accuracy and validity of any Exception Entry or decision, purported to be initiated by you to us, and shall not be liable for any costs or damages incurred by you or any other person in connection with any unauthorized Entries or Exception Entry decisions.
Positive Pay Service. If you provide us with a list of the serial numbers and the amounts (exact dollars and cents) of the checks that you issue by the cutoff hour for the Positive Pay Service, we will compare the list with the information that is encoded on items presented to us for payment against your designated account. If the information matches, we will treat the matching items as validly issued and properly payable, and will process such items for payment. If the information does not match, we will provide you with a report of the non-matching items and certain other exception items. You must then advise us if you do not want us to pay the items listed in the report. Unless you notify us through the Positive Pay Service not to pay the items, we may consider them to be validly issued and properly payable, and may pay the items. We may refuse to pay any item if there are insufficient collected and available funds in your account to cover the item.
Positive Pay Service. (a) Purpose. Customer maintains the checking account(s) identified in its Application, on which checks may be drawn from time to time, and desires that the Bank facilitate Customer’s detection of unauthorized and/or altered checks drawn on such account(s) (collectively referred to in this Section B.7. as the “Account”) through the services described in this Section B.7, and the Bank is willing to provide such services on the terms and conditions set forth herein.
