Common use of Positions Clause in Contracts

Positions. a. During the Employment Term, Executive shall serve as Executive Vice President and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the Company.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President President, General Counsel and Corporate Secretary of the Company’s Board of Directors. Executive shall also serve, if requested by the Chief Financial Executive Officer of the Company. Executive shall report to also serve, if requested by the Board of Directors of the Company or the Chief Executive Officer and President of the Company (the "Chief Executive Officer"), as an executive officer, director of subsidiaries and a director of associated companies of the Company and a fiduciary of any employee benefit plan or trust for the employees of the Company or subsidiaries and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company's Board of Directors (the "Compensation Committee") with regard to retention or forfeiture of the director's or other fees.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that President-General Merchandise Manager of the Company. Executive shall report to the Chief Executive Officer and President of the Company ("CEO") and shall have such duties and authority, consistent with respect to his responsibilities to position as Executive Vice President-General Merchandise Manager of the Company, as shall be assigned to him from time to time by the CEO.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and Chief Financial Operating Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to also serve, if requested by the Chief Executive Officer of the Company, as an executive officer and President director of subsidiaries and a director of associated companies of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company's Board of Directors (the "COMPENSATION COMMITTEE") with regard to retention or forfeiture of director's fees.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive the Vice President Chairman and Chief Financial Officer Head of the Company. In such position, Executive shall have such duties, authority Worldwide Strategy and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that Planning of the Company. Executive shall report to also serve, if requested by the Chief Executive Officer of the Company, as an executive officer and President director of subsidiaries and a director of associated companies of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company’s Board of Directors (the “Compensation Committee”) with regard to retention or forfeiture of director’s fees.

Executive shall report continue to serve during the Chief Executive Officer and President Employment Term as a member of the Board of Directors of the Company (the "Board"). Executive shall also serve, if requested by the Board, as an executive officer and director of subsidiaries and a director of associated companies of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company's Board (the "Compensation Committee") with regard to retention or forfeiture of director's fees.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President President-Merchandising and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that Marketing of the Company. Executive shall report to the Chief Executive Officer and President of the Company ("CEO") and shall have such duties and authority, consistent with respect to his responsibilities to position as Executive Vice President-Merchandising and Marketing of the Company, as shall be assigned to him from time to time by the CEO.

Positions. a. During the Employment Term, The Executive shall serve as Executive be the Senior Vice President and Chief Financial Officer President-General Counsel of the Company. In such position, The Executive shall have such duties, authority and responsibilities agrees to serve as shall be determined from time to time by Secretary (or other officer) and/or a member of the board Board of directors Directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that any Subsidiary of the Company. Executive shall report , if elected and, subject to the Chief Executive Officer and President reasonable approval of Executive, as a director and/or officer of any other Affiliate of the Company with respect to his responsibilities to the Companyif so elected.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President President, Lodging and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that Vacation Packages of the Company. Executive shall report to also serve, if requested by the Chief Executive Officer of the Company, as an executive officer and President director of subsidiaries and a director of Affiliates of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company’s Board of Directors (the “Compensation Committee”) with regard to retention or forfeiture of director’s fees.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and the Chief Financial Marketing Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to also serve, if requested by the Chief Executive Officer of the Company, as an executive officer and President director of subsidiaries and a director of associated companies of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company's Board of Directors (the "Compensation Committee") with regard to retention or forfeiture of director's fees received in connection with such director positions.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and the Chief Financial Information Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to also serve, if requested by the Chief Executive Officer or the Chief Operating Officer of the Company, as an executive officer and President director of subsidiaries and a director of associated companies of the Company and shall comply with respect to his responsibilities to the policy of the Compensation Committee of the Company's Board of Directors (the "Compensation Committee") with regard to retention or forfeiture of director's fees.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President President-Store Operations and Chief Financial Officer of the Company. In such position, Executive shall have such duties, authority and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that Distribution of the Company. Executive shall report to the Chief Executive Officer and President of the Company ("CEO") and shall have such duties and authority, consistent with respect to his responsibilities to position as Executive Vice President-Store Operations and Distribution of the Company, as shall be assigned to him from time to time by the CEO.

Positions. a. During the Employment Term, (a) Executive shall serve as Executive Vice President and General Counsel of the Company and Secretary of the Company’s Board of Directors. Executive shall also serve, if requested by the Chief Financial Executive Officer of the Company. In such position, Executive shall have such duties, authority as an executive officer and responsibilities as shall be determined from time to time by the board director of directors subsidiaries and a director of Affiliates of the Company and shall comply with the policy of the Compensation Committee of the Company’s Board of Directors (the “BoardCompensation Committee”), which duties, authority and responsibilities shall be customary for Executive) with regard to retention or forfeiture of director’s position in a business of a similar size, type and nature to that of the Company. Executive shall report to the Chief Executive Officer and President of the Company with respect to his responsibilities to the Companyfees.

In such position, Executive shall have such duties, authority Human Resources and responsibilities as shall be determined from time to time by the board of directors of the Company (the “Board”), which duties, authority and responsibilities shall be customary for Executive’s position in a business of a similar size, type and nature to that General Counsel of the Company. Executive shall report to the Chief Executive Officer and President of the Company ("CEO") and shall have such duties and authority, consistent with respect to his responsibilities to position as Executive Vice President-Store Development and Human Resources & General Counsel of the Company, as shall be assigned to him from time to time by the CEO.
