Position, Duties and Responsibilities. During the Term of Employment, Executive shall be employed and serve as the Chief Business Officer of the Company, reporting directly to the Chief Executive Officer and to the Board of Directors of the Company, and having such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Company. Executive also agrees to serve as an officer and/or director of any member of the Company Group, in each case without additional compensation.

During the Term of Employment, Executive shall be employed and serve as the General Counsel and Chief Business Strategy Officer of the Company, reporting to directly to the Company’s Chief Executive Officer and to the Board of Directors of the CompanyOfficer, and having such duties and responsibilities commensurate with such position as may be reasonably assigned by the Chief to Executive Officer and the Board of Directors of the Companyfrom time to time. Executive also agrees to serve as an officer and/or director of any member of the Company Group, in each case without additional compensation.

(a) During the Term of Employment, Executive shall be employed and serve as the Chief Business Executive Officer of the CompanyCompany and of such of its subsidiaries as the Board may request, reporting directly to the Chief Executive Officer and to Chairman of the Board of Directors of the CompanyCompany (the “Chairman”) and the Board, and having shall perform such lawful duties and responsibilities as are specified from time to time by the Chairman and/or the Board that are commensurate with such his position as may be assigned by the Chief Executive Officer and the Board of Directors of the Company. Executive also agrees to serve as an officer and/or director of any member of the Company Group, in each case without additional compensationOfficer.

Position, Duties and Responsibilities. During the Term of Employment, Executive shall be employed and serve as the Chief Business Officer of the Company, reporting directly to the Company’s Chief Executive Officer and to or such other officer of the Company that the Board of Directors of or the Company’s Chief Executive Officer designates from time to time, and having such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Companyposition. Executive also agrees to serve as an officer and/or director of any member of the Company Group, in each case case, without additional compensation.

Position, Duties and Responsibilities. During the Term of EmploymentTerm, Executive shall be employed and serve as the Co-Chief Business Executive Officer of the Company, reporting directly to the Chief Executive Officer and to Company (together with such other position or positions consistent with Executive’s title as the Board of Directors of the Company, shall specify from time to time) and having shall have such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Companytitle. Executive also agrees to serve as an officer and/or director of any other member of the Company Group, in each case without additional compensation.

Position, Duties and Responsibilities. During the Term of Employment, Executive shall be employed and serve as the Chief Business Officer Executive Vice President, General Counsel and Secretary of the Company, reporting directly to the Chief Executive Officer and to Company (together with such other position or positions consistent with Executive’s title as the Board of Directors of the Company, shall specify from time to time) and having shall have such duties and responsibilities commensurate with such position as title, which may be assigned include managing the day-to-day business activities of the Company (subject to operating guidelines and budgets established by the Chief Executive Officer and the Board of Directors of the Companyfrom time to time). Executive also agrees to serve as an officer and/or director of any other member of the Company Group, in each case without additional compensation.

Position, Duties and Responsibilities. During the Term of Employment, Executive shall be employed and serve as the Chief Business Financial Officer of the Company, reporting directly to the Chief Executive Officer and to the Board of Directors of the Company, and having such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Company. Executive also agrees to serve as an officer and/or director director, if appointed, of any member of the Company Group, in each case without additional compensation.

Position, Duties and Responsibilities. During the Term of EmploymentTerm, Executive shall be employed and serve as the Chief Business Executive Officer of the CompanyCompany (together with such other position or positions consistent with Executive’s titles and positions as Chief Executive Officer of the Company as the Board shall specify from time to time), reporting directly to the Chief Executive Officer and to the Board of Directors of the CompanyBoard, and having shall have such duties and responsibilities commensurate with such position titles and positions as may be assigned by the Chief Executive Officer and the Board of Directors most senior officer of the Company. Executive also agrees to serve as an officer and/or director of any other member of the Company Group, in each case case, without additional compensation.

Position, Duties and Responsibilities. During the Term of Employment, Executive shall be employed and serve as the Chief Business Financial Officer of the Company, reporting directly to the Company’s Chief Executive Officer and to the Board of Directors of the CompanyOfficer, and having such duties duties, authority and responsibilities commensurate with such position and as may be reasonably assigned to Executive from time to time by the Company’s Chief Executive Officer and or the Board of Directors of the CompanyBoard. Executive also agrees to serve as an officer and/or director of any member of the Company Group, in each case without additional compensation.

Position, Duties and Responsibilities. During The Executive, in his capacity as Chief Executive Officer, shall faithfully perform for the Term Company the duties of Employmentsaid office and shall perform such other duties of an executive, Executive managerial or administrative nature as shall be employed specified and serve as designated from time to time by the Chief Business Officer of the CompanyBoard consistent with such office. The Executive, reporting directly in carrying out his duties under this Agreement, shall report to the Chief Executive Officer and Board. Notwithstanding anything in this Section 3 to the Board of Directors of contrary, nothing shall preclude the Company, and having such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Company. During the Term of EmploymentTerm, Executive shall be employed and serve as the Chief Business Operating Officer of the Company, reporting directly to Company (together with such other position or positions consistent with Executive’s title as the Chief Executive Officer shall specify from time to time) and to the Board of Directors of the Company, and having shall have such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Companytitle. Executive also agrees to serve as an officer and/or director of any other member of the Company Group, in each case without additional compensation. Executive shall report to the Chief Executive Officer.

During the Term of EmploymentTerm, Executive shall be employed and serve as the Chief Business Officer President of the Company, reporting directly to the Chief Executive Officer and to Company (together with such other position or positions consistent with Executive’s title as the Board of Directors of the Company, shall specify from time to time) and having shall have such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and the Board of Directors of the Companytitle. Executive also agrees to serve as an officer and/or director of any other member of the Company Group, in each case without additional compensation.

Position, Duties and Responsibilities. During the Term of Employment, the Executive shall be employed and serve as the Company’s Chief Business Officer Officer, and shall also serve, if at all, in other such officer and/or director positions with any member of the Company Group (for no additional compensation) as may be determined by the Company, reporting directly to the ’s Chief Executive Officer and to (the “CEO”) or the Board of Directors of the Company, and having from time to time. The Executive shall have such duties and responsibilities commensurate with such position as may be assigned by the Chief Executive Officer and CEO or his/her designee or the Board of Directors of the Company.
