Common use of Position and Responsibilities Clause in Contracts

Position and Responsibilities. During the period of his employment hereunder, Executive agrees to serve as Chairman of the Board of Directors and Chief Executive Officer of the Holding Company. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding Company. Failure to reelect Executive as Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, without the consent of the Executive shall constitute a breach of this Agreement.

Position and Responsibilities. During the period of his employment hereunder, Executive agrees to serve as Chairman of the Board of Directors and Chief Executive Officer of the Holding CompanyBank. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding CompanyBank. (a) During the period of his employment hereunder, Executive agrees to serve as Chairman President and Chief Executive Officer, and as a member of the Board of Directors and Chief Executive Officer (the "Board"), of the Holding CompanyBank. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding CompanyBank. Failure to reelect Executive as the President and Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, Bank without the consent of Executive during the Executive term of this Agreement shall constitute a breach of this Agreement.

During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding CompanyBank. Failure to reelect Executive as the President and Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, Bank without the consent of Executive during the Executive term of this Agreement shall constitute a breach of this Agreement.

Position and Responsibilities. During the period of his employment hereunder, Executive agrees to serve as Chairman of the Board of Directors President and Chief Executive Officer and, if elected, as a director of each of the Holding CompanyCompany and of the Bank. During said period, Executive also agrees to serve, if electedappointed, as an officer and and, if elected, as a director of any other subsidiary or affiliate of the Holding Company. Failure to reelect reappoint Executive as President and Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, Company and the Bank without the consent of Executive during the Executive term of this Agreement shall constitute a breach of this Agreement.

During the period of his employment hereunder, Executive agrees to serve as Chairman Chief Executive Officer and President of the Board of Directors Company and Chairman and Chief Executive Officer of the Holding CompanyBank. During said period, Executive also agrees to serve, if electedelected or appointed, as an officer and or director of any subsidiary or affiliate of the Holding CompanyCompany or the Bank. Failure to reelect Executive as Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman any of the Board if elected as a director, foregoing offices without the consent of Executive during the Executive term of this Agreement shall constitute a breach of this Agreement.

During the period of his employment hereunder, Executive agrees to serve as Chairman of the Board of Directors and Chief Executive Officer of the Holding Bank and the Company. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding CompanyBank. Failure to reelect Executive as Chief Executive Officer or failure to nominate Executive to Chairman of the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, Company and the Bank without the consent of the Executive during the term of this Agreement (except for any termination for Cause, as defined herein) shall constitute a breach of this Agreement.

During the period of his employment hereunder, Executive agrees to serve as Chairman of the Board of Directors and Board/Chief Executive Officer of the Holding CompanyBank. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding CompanyBank. Failure to reelect Executive as Chairman of the Board/Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, without the consent of the Executive shall constitute a breach of this Agreement.

Position and Responsibilities. During the period of his employment hereunder, Executive agrees to serve as the Chairman of the Board of Directors and Chief Executive Officer of the Holding CompanyDirectors. During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding Company. Failure to reelect Executive as Chief Executive Officer Bank or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, director without the consent of the Executive shall constitute a breach of this Agreement.

During said period, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Holding CompanyBank. Failure to reelect Executive as the President and Chief Executive Officer or failure to nominate Executive to Officer, and a member of the Board of Directors or failure to elect the Executive as the Chairman Directors, of the Board if elected as a director, Bank and the Company without the consent of the Executive during the term of this Agreement shall constitute a breach of this Agreement.

Position and Responsibilities. During the period of his employment hereunder, Executive agrees to serve as Chairman of the Board of Directors President and Chief Executive Officer of the Holding CompanyBank. Executive shall render administrative and management services to the Bank such as are customarily performed by persons situated in a similar executive capacity. During said period, Executive also agrees to serve, if elected, as an officer and director of the Holding Company or any subsidiary or affiliate of the Holding CompanyBank. Failure to reelect or reappoint Executive as President and Chief Executive Officer or failure to nominate Executive to the Board of Directors or failure to elect the Executive as the Chairman of the Board if elected as a director, Bank without the consent of the Executive shall constitute a breach of this Agreement.
