PLANT INSPECTION. The Owner or his/her authorized representative may inspect, at its source, any specified material or assembly to be used in the work. Manufacturing plants may be inspected from time to time for the purpose of determining compliance with specified manufacturing methods or materials to be used in the work and to obtain samples required for his/her acceptance of the material or assembly. Should the Owner conduct plant inspections, the following conditions shall exist:

PLANT INSPECTION. Arthrex shall have the right to have qualified Arthrex employees, contractors or agents present at Bovie's manufacturing facility, at mutually agreeable times during normal business hours to (i) observe Bovie's manufacture of Products; (ii) inspect Bovie's facility and manufacturing procedures, as such relate to Products manufactured hereunder, and quality assurance/control procedures for compliance with (A) QSR, including GMP, as well as 180- 9001 registrations (provided and for such time that such standards remain valid) and EN 46001 certification, (B) ETL standards for testing and evaluation of each of the Products and (C) compliance with the ED Medical Device Directives in connection with the CE Marking; and (iii) inspect Bovie's inventory, work-in-process, raw materials, QSR records and such other matters as may be pertinent to proper quality assurance of Products to be delivered under the terms of this Agreement.

Manufacturing plants may be inspected from time to time for the purpose of determining compliance with specified manufacturing methods or materials to be used in the work and to obtain samples required for acceptance of the material or assembly. Should the RPR conduct plant inspections, the following conditions shall exist:
PLANT INSPECTION. County or its designated representative may inspect the production of material, or the manufacture of products at the source of supply. Plant inspection, however, shall not be undertaken until County is assured of the cooperation and assistance of both Contractor and the material producer. County or its authorized representative shall have free entry at all times to such parts of the plant as concerns the manufacture or production of the materials. Adequate facilities shall be furnished free of charge to make the necessary inspection. County assumes no obligation to inspect materials at the source of supply.

PLANT INSPECTION. In addition to quality audits by Customer as provided in the Quality Agreement, Customer shall have the right to have qualified Customer employees present at Supplier’s manufacturing facility, at mutually agreeable times during normal business hours, to (i) observe Supplier’s installation and qualification of equipment and processes and manufacture of Products; (ii) inspect Supplier’s facility and manufacturing procedures as relates to Products manufactured hereunder, and quality assurance/control procedures for compliance with GMP; and (iii) inspect Supplier’s inventory, work-in-process, raw materials, GMP records, and such other matters as may be pertinent to proper quality assurance of Products to be delivered under the terms of this Agreement. Customer’s personnel and/or duly authorized representatives exercising this right of inspection shall comply with all applicable Supplier rules and regulations provided by Supplier to Customer. PLANT INSPECTION. DSM PTG shall promptly notify SHC whenever a request for a plant inspection is received from the FDA that relates in any way to Licensed Product, and shall promptly advise SHC of any scheduled or unscheduled FDA inspection and the results thereof. A copy of Form 483 observations or other applicable reports, which apply to Licensed Product and redacted as deemed necessary by DSM PTG to protect proprietary information, shall be supplied to SHC upon its request, within ten business days of the request. DSM PTG shall promptly take steps to remedy any valid deficiencies found by the FDA inspectors relating to the manufacture, sterilization and packaging of Licensed Product, and to respond in writing to the Form 483 observations. DSM PTG shall provide SHC with a copy of its responses to any Form 483 observations relating to the Licensed Product in advance of their submission to FDA, redacted of any proprietary information, and shall notify SHC of the date such responses are filed with the FDA.

PLANT INSPECTION. When a plant inspection is made by an Inspector authorized to enforce the Workers' Compensation Regulations, the Factories Act or any other Act or regulation pertaining to industrial health or safety, a Union representative for the Safety Committee shall be included in the tour, and a copy of the Inspector's report shall be made available to the Safety Committee.

Plant inspection, however, will not be undertaken until the Engineer is assured of the cooperation and assistance of both Contractor and the material producer. The Engineer or the Engineer's authorized representative shall have free entry at all times to those parts of the plant as concerns the manufacture or production of the materials. Adequate facilities shall be furnished free of charge to make the necessary inspection. MST assumes no obligation to inspect materials at the source of supply.
