The Employer expressly reserves the right to discharge an Employee at any time, with or without cause, without regard to the effect such discharge would have upon the Employee's interest in the Plan.

Plan Does Not Affect Employment Rights. Although it is intended that the Plan shall be continued and that contributions shall be made as herein provided, the Plan is entirely voluntary on the part of the Employer and the continuance of the Plan and the payment of contributions hereunder are not to be regarded as contractual obligations of the Employer. The Employer does not guarantee or promise to pay or to cause to be paid any of the benefits provided by the Plan. Each person who shall claim the right to any payment or benefit under the Plan shall be entitled to look only to the Trust for any such payment or benefit and shall not have any right, claim, or demand therefore against the Employer, except as provided by law. The Plan does not provide any employment rights to any Employee and shall not be deemed to constitute a contract between the Employer and any Employee or to be a consideration for, or an inducement for, the employment of any Employee by the Employer. The Employer expressly reserves the right to discharge an Employee at any time, with or without cause, without regard to the effect such discharge would have upon the Employee's interest in the Plan.

This Agreement shall not be deemed an employment contract between the Company (or any of its subsidiaries or any other Enterprise) and Indemnitee. Indemnitee specifically acknowledges that Indemnitee’s employment with the Company (or any of its subsidiaries or any other Enterprise), if any, is at will, and Indemnitee may be discharged at any time for any reason, with or without cause, except as may be otherwise provided in any written employment contract between Indemnitee and the Company (or any of its subsidiaries or any other Enterprise), other applicable formal severance policies duly adopted by the Board, or, with respect to service as a director of the Company, by the Certificate of Incorporation, the Bylaws or the DGCL.
