PLACE OF CONTRACTING. In any arbitration, action or other proceeding relating to this Agreement, the Agreement shall be deemed to have been entered into in San Diego, California notwithstanding where the Agreement was executed.

PLACE OF CONTRACTING. At the commencement of this arrangement, the Contractor shall perform Contractor’s duties at the places and times reasonably provided by Company (the “Territory”). However, at any time deemed reasonably necessary or advisable by Company for business purposes, the Contractor shall work at any other place or places that may be designated by the Company outside of such Territory. The initial Territory shall comprise a comprehensive radius of 100 miles from the Contractor’s home address.

  • Place of Delivery and Governing Law This Agreement shall be deemed in effect when a fully executed counterpart thereof is received by the Seller in the State of New York and shall be deemed to have been made in the State of New York.   • Place of Payment Subject to Section 14.2, payments of principal, Make-Whole Amount, if any, and interest becoming due and payable on the Notes shall be made in New York, New York at the principal office of JPMorgan Chase Bank, N.A. in such jurisdiction. The Company may at any time, by notice to each holder of a Note, change the place of payment of the Notes so long as such place of payment shall be either the principal office of the Company in such jurisdiction or the principal office of a bank or trust company in such jurisdiction.
