Physical Materials. With respect to each Program, not later than the Delivery Date therefor, Licensor shall deliver to the Transfer House (or as otherwise directed in Exhibit B hereto), at Licensor’s cost and expense the materials related to such Program as set forth in Exhibit B hereto, which in each case meet the programming and technical specifications set forth in Exhibit B hereto (such items being herein collectively referred to as the “Physical Materials”). The Physical Materials shall be held in the name of Licensor for the sole purpose of preparing therefrom at Licensee’s expense (and Licensor shall authorize the Transfer House, if any, to prepare, on Video Material stock owned or to be owned by Licensee, and immediately release) for Licensee’s use hereunder one (1) set of NTSC video materials for such Program. Licensee shall have the right to prepare, at Licensee’s expense, from the video materials produced at the Transfer House, such additional video materials of such Program as Licensee shall require for its use hereunder (all such video materials referred to in this sentence and the preceding sentence, together with any video reproductions of the Programs delivered by Licensor directly to the Studio for use by Licensee being hereinafter referred to collectively as “Video Reproductions”). Without limiting the generality of the rights granted to Licensee herein, Licensee shall have the right to encode and uplink the Video Reproduction(s) for transmission to authorized exhibitors hereunder. Licensee is not granted the right to possess or Exhibit any Physical Materials.

Physical Materials. 2.1 Licensor shall deliver to Licensee at least 30 days prior to the Availability Date for each Program one Digital Betacam NTSC copy with original sound on Channel I and Portuguese sound on Channel 2 (a "Copy"). With respect to Programs that Licensee has notified Licensor (pursuant to Section 4.2.2 of the Agreement) that it intends to broadcast in High Definition, Licensor shall also deliver a Copy suitable for broadcast in High Definition. After receiving each Copy, Licensee shall have 30 days from the date of delivery to review the technical and dubbing quality of each Copy. If Licensee, in its reasonable judgment, determines that the Copy is not of acceptable technical (including technical dubbing quality) for Free Broadcast Television exploitation in Brazil, Licensee shall provide to Licensor a detailed summary of the technical defects (including technical dubbing defects) and Licensor shall have the right to replace such Copy. Licensee shall promptly respond to Licensor's questions regarding Licensee's standards for technical quality (including technical dubbing quality). If after meaningful consultation with Licensor, Licensee and Licensor agree that acceptable Copies are not available for such title, then Licensor shall have the right to withdraw such title, in which case the provisions of Section 6 shall apply. Such Copy shall be either a dubbed Licensed Language version or the original language version. Licensor shall in addition make available to Licensee advertising materials for the Programs ("Advertising Materials") to the extent available. All costs (including, without limitation, duplication, shipping and forwarding charges, and insurance) of creating and shipping Copies and Advertising Materials to Licensee shall be borne by Licensor; provided, however, that if Licensee requests Copies in High Definition and High Definition materials are available out of stock on hand, Licensee shall bear all costs of creating and shipping Copies in High Definition. If Licensor does not have High Definition materials out of stock on hand, Licensee shall bear the cost of creating a High Definition master (such costs not to exceed US $[600] per Program) in addition to the costs of creating and shipping a Copy in High Definition to Licensee. All costs associated with providing Copies in High Definition shall be due and payable within thirty (30) days of invoice.
Physical Materials. 12.1 All physical materials purchased or produced in pursuance of the Client's business upon payment in full for such material will become the Client's property exclusively.
Physical Materials. A. FILM ELEMENTS: Distributor shall have an inspection period of thirty (30) days to commence upon complete physical delivery of all elements listed below to Distributor and/or a facility designated by Distributor.

Physical Materials. If, during the one year period beginning on ------------------ the Closing, SINV is unable to service a licensee of the DIC Library by reason of a lack of customary exploitation materials which either (i) conform to broadcast norms in existence on the Closing Date, or (ii) conform to production norms customarily used at the date of production for comparable programs, or (iii) are reasonably acceptable for the servicing of such licensee; and, in addition, SINV is unable to obtain such materials (e.g., tapes for broadcast) from sources at its disposal or from third parties, Vesical shall reimburse SINV for the direct loss it suffers due to SINV's inability to provide such delivery materials. Notwithstanding the foregoing, Vesical shall not reimburse SINV for any loss with respect to a series of programs licensed in a territory if such series of programs had been licensed in that territory during the five (5) years preceding the Closing.
Physical Materials. With respect to each Transferred Title, the Physical Materials relating to such Transferred Title are of a type and quality necessary to meet the standards set forth in any Distribution Agreement and otherwise to permit the full exploitation of the Transferred Media Assets with respect to such Transferred Title in the manner contemplated by the Fundamental Documents, except to the extent additions or deletions are required to be made to the theatrical version of a Transferred Title which has been included in the Physical Materials to conform to the standards set forth in any Distribution Agreement or the customary standards of practice of a television station exhibiting such Title.

Physical Materials. If physical samples, compounds, substances and/or other materials (collectively, the “Materials”) are provided by Client to Consultant hereunder, such Materials are provided “as-is” and Consultant agrees it shall not use such Materials or any information directly or indirectly derived therefrom, for any purpose other than the provision of Services and generation of deliverables to Client hereunder. Consultant shall not file, prosecute or support in any country any patent application which claims or uses such Materials. Consultant shall not conduct any analysis of, reverse engineer or decompile any Materials, other than such analyses as are specifically authorized by Client in a Project Assignment. Consultant shall not transfer or make available the Materials to any individual not directly involved in the Services without Client’s prior written consent and Consultant shall not destroy any Materials until it has obtained Client’s prior written permission to do so.
