PHC. SUB and the Service Provider desire to enter into this Agreement for (1) the provision of practice management and development services by PHC-SUB to the Service Provider and (2) the provision by PHC-SUB of facilities, personnel, equipment and supplies necessary to operate the Service Provider, pursuant to the terms and conditions hereof, to permit the Service Provider and each of its physician employees to devote their respective efforts on a concentrated and continuous basis to the rendering of medical services to their patients.
PHC. Each of the above Articles shall, for purposes of enforcement, include the provisions of Articles I, VIII, IX and X as they apply to such Articles.
PHC. By PHC with respect to itself and all HMO Subsidiaries and Operating units in the event that P1W undergoes a Change of Control Transaction. Such termination right must be exercised within 30 days after the effective date of such Change of Control Transaction by giving written notice to PBHC. Such termination shall be effective 90 days after such written notice.

  • Baxter and Nexell shall cooperate in any action taken by a third party solely involving a nullity action, opposition, reexamination or any other action taken by such third party alleging the invalidity or unenforceability of any Licensed Intellectual Property.
