Common use of Persons Having Rights under this Warrant Agreement Clause in Contracts

Persons Having Rights under this Warrant Agreement. Nothing in this Warrant Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the Holders of the Warrants and, for purposes of Sections 3.3 and 9.3, the Underwriters identified in the Registration Statement (the “Underwriters”) and for purposes of Section 9.8, the Representative (as defined in the Registration Statement), any right, remedy, or claim under or by reason of this Warrant Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. The Underwriters and the Representative shall be deemed to be an express third-party beneficiary of this Warrant Agreement with respect to Sections 3.3, 9.3 and 9.8 hereof, as applicable. All covenants, conditions, stipulations, promises, and agreements contained in this Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and the Underwriters and the Representative with respect to the Sections 3.3, 9.3 and 9.8 hereof, as applicable) and their successors and assigns and of the Holders.

Nothing in this Warrant Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation entity other than the parties hereto and the Registered Holders of the Warrants (who shall, for all purposes hereunder, be deemed third party beneficiaries of this Warrant Agreement) and, for the purposes of Sections 3.3 3.3.5, 6.1, 6.4, 7.4, 9.2 and 9.39.8 hereof, the Underwriters identified in the Registration Statement (the “Underwriters”) and for purposes of Section 9.8, the Representative (as defined in the Registration Statement)Maxim, any right, remedy, or claim under or by reason of this Warrant Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. The Underwriters and the Representative Maxim shall be deemed to be an express a third-party beneficiary of this Warrant Agreement with respect to Sections 3.33.3.5, 9.3 6.1, 6.4, 7.4, 9.2 and 9.8 hereof, as applicable. All covenants, conditions, stipulations, promises, and agreements contained in this Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and the Underwriters and the Representative Maxim with respect to the Sections 3.33.3.5, 9.3 6.1, 6.4, 7.4 and 9.8 9.2 hereof, as applicable) and their successors and assigns and of the HoldersRegistered Holders of the Warrants.

The registered holders and beneficial owners shall be deemed to be express third party beneficiaries of this Warrant Agreement. All covenants, conditions, stipulations, promises, and agreements contained in this Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto and the registered holders and beneficial owners (and the Underwriters and the Representative with respect to the Sections 3.3, 7.4, 7.5, 9.3 and 9.8 hereof, as applicable) and their successors and assigns and of the Holdersregistered holders of the Warrants.
