Common use of Persons Having Rights under this Agreement Clause in Contracts

Persons Having Rights under this Agreement. Nothing in this Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the registered holders of the Rights and, for the purposes of Sections 3.1, 7.4 and 7.8 hereof, EBC, any right, remedy, or claim under or by reason of this Right Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. EBC shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC with respect to the Sections 3.1, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights.

Persons Having Rights under this Agreement. Nothing in this Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the registered holders of the Rights and, for the purposes of Sections 3.1, 7.4 and 7.8 hereof, EBC; the Representative, any right, remedy, or claim under or by reason of this Right Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. EBC The Representative shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC the Representative with respect to the Sections 3.1, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights. The provisions of this Section 7.4 may not be modified, amended or deleted without the prior written consent of the Representative.

Persons Having Rights under this Agreement. EBC MG shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC MG with respect to the Sections 3.1, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights.

Persons Having Rights under this Agreement. Nothing in this Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the registered holders of the Rights Warrants and, for the purposes of Sections 3.16.1, 7.4 and 7.8 9.2 hereof, EBCMJ, any right, remedy, or claim under or by reason of this Right Warrant Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. EBC MJ shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.16.1, 7.4 and 7.8 9.2 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC MJ with respect to the Sections 3.16.1, 7.4 and 7.8 9.2 hereof) and their successors and assigns and of the registered holders of the RightsWarrants.

Persons Having Rights under this Agreement. EBC Spartan shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 3.2, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC Spartan with respect to the Sections 3.1, 3.2, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights.

EBC The Underwriters shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 6.4 and 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC the Underwriters with respect to the Sections 3.1, 6.4 and 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the RightsWarrants.

Persons Having Rights under this Agreement. Nothing in this Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the registered holders of the Rights and, for the purposes of Sections 3.13, 7.4 and 7.8 hereof, EBCChardan, any right, remedy, or claim under or by reason of this Right Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. EBC Chardan shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.13, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC Chardan with respect to the Sections 3.13, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights. The provisions of this Section 7.4 may not be modified, amended or deleted without the prior written consent of Chardan.

Persons Having Rights under this Agreement. Nothing in this Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the registered holders of the Rights and, for the purposes of Sections 3.1, 7.4 and 7.8 hereof, EBCthe Representatives, any right, remedy, or claim under or by reason of this Right Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. EBC The Representatives shall be deemed to be a third-party beneficiary beneficiaries of this Agreement with respect to Sections 3.1, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC the Representatives with respect to the Sections 3.1, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights. The provisions of this Section 7.4 may not be modified, amended or deleted without the prior written consent of the Representatives.

Persons Having Rights under this Agreement. Nothing in this Agreement expressed and nothing that may be implied from any of the provisions hereof is intended, or shall be construed, to confer upon, or give to, any person or corporation other than the parties hereto and the registered holders of the Rights Registered Holders and, for the purposes of Sections 3.1, 6.4 and 7.4 and 7.8 hereof, EBCXxxxxxxx, any right, remedy, or claim under or by reason of this Right Warrant Agreement or of any covenant, condition, stipulation, promise, or agreement hereof. EBC Xxxxxxxx shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 6.4 and 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC Xxxxxxxx with respect to the Sections 3.1, 6.4 and 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders Registered Holders of the RightsWarrants.

Persons Having Rights under this Agreement. EBC shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 7.4 and 7.8 9.2 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC with respect to the Sections 3.1, 7.4 and 7.8 9.2 hereof) and their successors and assigns and of the registered holders of the RightsWarrants.

All covenants, conditions, stipulations, promises, and agreements contained in this Right Warrant Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC Ladenburg with respect to the Sections 3.1, 7.4 and 7.8 9.2 hereof) and their successors and assigns and of the registered holders of the RightsWarrants.

EBC The Representative shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.1, 7.4 and 7.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC the Representative with respect to the Sections 3.1, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Detachable Rights.

All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC CCM with respect to the Sections 3.1, 3.2, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights. The provisions of this Section 7.4 may not be modified, amended or deleted without the prior written consent of CCM.

All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC Spartan with respect to the Sections 3.1, 7.4 and 7.8 hereof) and their successors and assigns and of the registered holders of the Rights.

EBC shall be deemed to be a third-party beneficiary of this Agreement with respect to Sections 3.12.5, 7.4 6.4, 7.4, 9.4 and 7.8 9.8 hereof. All covenants, conditions, stipulations, promises, and agreements contained in this Right Agreement shall be for the sole and exclusive benefit of the parties hereto (and EBC with respect to the Sections 3.12.5, 7.4 6.4, 7.4, 9.4 and 7.8 9.8 hereof) and their successors and assigns and of the registered holders Registered Holders of the RightsWarrants.
