Common use of Personnel Clause in Contracts

Personnel. The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

Personnel. The Sub-Adviser shall shall, in its reasonable discretion, perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

Personnel. The Sub-Adviser shall perform (or shall have previously performed) background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including Information at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

Personnel. The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with hired on or after the date of this Agreement who will or may have material access to Information, including at the time such employee is hired by the Sub-Adviser or or, if such background check was not performed at the time of hire, at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under managementAllocated Portion.

The Sub-Adviser shall has performed or will perform (or has caused or will cause to be performed) background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material prior to such employee gaining access to Information, including at the time such employee is hired by the Sub-Adviser Information or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser, and each associated person of the Sub-Adviser under a “participating affiliate” agreement, with material access to Information, including at the time such employee or associated person is hired by the Sub-Adviser or its affiliate or at such times as an employee’s or associated person’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

The Sub-Adviser shall has performed or will perform (or has caused or will cause to be performed) background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under management.

The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conductconduct to the extent available in the relevant jurisdiction) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an such employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under managementAllocated Portion.

The Sub-Adviser shall perform background screening (including review of records as to violent or criminal conduct) of each employee of the Sub-Adviser with material access to Information, including at the time such employee is hired by the Sub-Adviser or at such times as an employee’s duties begin to include investment or oversight authority over a material portion of the Sub-Adviser’s assets under managementAdviser updates its background screening concerning its staff.
