Personnel and Subcontractors. 8.1 The Contractor will provide only personnel who have the qualifications, experience and capabilities to provide the Goods and perform the Services.
Personnel and Subcontractors. 10.1. The Contractor shall be responsible for providing at its own cost and expense all personnel necessary to perform the Services in accordance with this Agreement.

If the services of [NAME of Primary Monitor] (“Primary Monitor”) with Contractor are terminated either by Contractor or the Primary Monitor for any reason whatsoever, with or without cause, or if the Primary Monitor is otherwise unavailable to perform the Services, or any part thereof, under this Agreement, the City and the Court reserve the right to terminate this Agreement. Contractor agrees to provide the City and the Court with ninety days written notice prior to the effective date of the Primary Monitor’s termination.

For all purposes under the Agreement, in no event shall any employee, agent or Subcontractor of Seller be considered a borrowed servant, unless and only to the extent that the Purchase Order expressly provides that one or more of Seller’s employees, agents or Subcontractors is being supplied to Buyer without supervision by Xxxxxx and who will be under the exclusive direction and control of Buyer. In all other cases, all employees, agents or Subcontractors of Seller performing Services or work in connection with the Agreement shall be considered employees of an independent contractor. Notwithstanding the foregoing or any other provision in the Agreement to the contrary, Xxxxxx’s duties to defend, indemnify, protect and hold harmless Buyer under the terms of the Agreement shall apply and continue regardless of the characterization of an employee, agent or Subcontractor as a borrowed servant or the employee of an independent contractor. Buyer reserves the right to approve any subcontractor which is retained by Seller for the purposes of subcontracting any portion of the Services (each a “Subcontractor”) in its sole discretion and, without limitation, can require the replacement of a Subcontractor for cause (in which case Seller will pay all costs associated with such replacement) or without cause (in which case Buyer will pay all costs associated with such replacement). Such Subcontractors shall not be changed without Buyer’s prior consent. Seller acknowledges and agrees that the fees for any Subcontractors are included in Seller’s compensation as provided in the Purchase Order.
Personnel and Subcontractors. C5.1 Personnel Tenderer to provide details of staff who will be involved in the installation and commissioning of the Goods, and their previous experience installing and commission the Goods in a similar environment.
Personnel and Subcontractors. We may, in our reasonable discretion, use subcontractors inside or outside the United States to perform any of our obligations under this Agreement. We will be responsible for the performance of Professional Services by our personnel (including employees and contractors) and their compliance with our obligations under this Agreement, except as otherwise specified in this Agreement. While on your premises, our personnel will comply with all reasonable security practices and procedures generally prescribed by you. If you are dissatisfied with the Professional Services personnel, the parties will in good faith determine a resolution. If the resolution involves reassigning personnel, we will do so as soon as practical and commercially reasonable, according to local law. You agree that reassignment of personnel may delay the Professional Services.
Personnel and Subcontractors. Lonza shall retain appropriately qualified and trained personnel with the requisite knowledge and experience to perform the Services in accordance with this Agreement. Lonza may subcontract and/or delegate any of its rights and/or obligations under this Agreement to perform the Services solely with Customer’s prior written approval (such approval not to be unreasonably withheld and/or delayed), provided that such Subcontractors are appropriately and fully qualified in all respects to perform the applicable Services, that such Subcontractors are subject to obligations of confidentiality at least as stringent and as protective of Customer as those obligations of confidence and non-use imposed upon Lonza, and that such Subcontractors are subject to obligations to act diligently and in accordance with best practice in respect of cGMP manufacture as contained in this Agreement.
