PERSONNEL AND ACCESS. The Contractor shall supply with his Bid the Curriculum Vitae of personnel and their specific staff task definitions to be employed on the Contract including Sub-Contractors. Any proposed changes to the Contractor’s, including Sub-Contractors, team during the Contract shall be notified to the Engineer’s and shall be to his satisfaction. The MCGM shall ensure that the Contractor has reasonable access to all locations to enable the Contractor to execute his responsibilities within the terms of the Contract. However, access to certain locations may be by arrangement, these shall be defined by the MCGM during the period of the Contract. If the Contractor find that he encounters unexpected delays in executing his programme due to lack of access to relevant locations and/or sites, then he shall through the established reporting procedures identifying this to the Engineer.

PERSONNEL AND ACCESS. (A) Personnel. LINN shall provide personnel to staff and perform the Services, which may be accomplished to the extent necessary by (i) employees of LINN or Third Party contractors (subject to paragraph (A) of Section 5.2). All personnel engaged or directed by LINN to perform LINN’s obligations under this Agreement shall be duly qualified, licensed, trained, and experienced to perform such obligations. LINN shall at all times require such personnel to comply with Applicable Law in the same manner as a reasonable and prudent operator. PERSONNEL AND ACCESS. The Company shall be responsible for determining the number of Web Wizard-TM- Professionals to be employed by the Company for the purpose of handling all Company obligations under the Agreement. The Company shall be solely responsible for all compensation of any nature accruing to the Support Professionals for Services performed by the Web Wizard-TM-Professionals. All Web Wizard-TM- Professionals shall be competent in personal computer use and written English. The Company shall provide persons designated by Webhelp with access to all facilities at which Services are performed and Webhelp shall have access to one office at the facility where most of the Services are performed. The Company shall make available its executives and managers to meet at reasonable times with the executives and managers of Webhelp at Webhelp's corporate headquarters; provided that Webhelp shall reimburse the Company for all reasonable, documented, out-of-pocket travel, food and lodging expenses incurred by the Company in connection with any such meeting.

PERSONNEL AND ACCESS. For the avoidance of doubt, no performance or provision of the Seller Services by the Seller or by any employee or former employee of Seller shall require any person to become or deemed to have become an employee of the Buyer or the Company. All employees of Seller engaged in the provision of the Seller Services shall remain employee of Seller for the duration of this Agreement, subject always to its right to terminate their employment or the employee’s right to resign from Seller. For the avoidance of doubt, no performance or provision of the Buyer Services by Buyer or the Company or by any employee or former employee of Buyer or the Company shall require any person to become or be deemed to have become an employee of Seller. All employees of Buyer and of Company engaged in the provision of the Buyer Services shall remain employees of Buyer and Company as the case may be for the duration of the Agreement, subject always to the Buyer or Company’s right to terminate their employment agreement or the employee’s rights to resign from Buyer or the Company. Buyer, during the term of the Agreement, shall provide (or procure the provision of) access to its offices and those of the Company to Seller and its representatives at all reasonable times (subject to any relevant security procedure) if requested by the Seller in order to comply with its obligations under the Agreement Seller, during the term of the Agreement, shall provide (or procure the provision of) access to its office to the Buyer and its representatives at all reasonable time (subject to any relevant security procedure) if requested by Buyer in order to comply with its obligations under the Agreement.

  • Utilities and Access To the knowledge of the Transaction Entities, water, stormwater, sanitary sewer, electricity and telephone service are all available at the property lines of each Property over duly dedicated streets or perpetual easements of record benefiting the applicable Property.   • Access to Personnel and Records Each Party shall authorize its respective auditors to make reasonably available to each other Party’s auditors (each such other Party’s auditors, collectively, the “Other Parties’ Auditors”) both the personnel who performed or are performing the annual audits of such audited Party (each such Party with respect to its own audit, the “Audited Party”) and work papers related to the annual audits of such Audited Party, in all cases within a reasonable time prior to such Audited Party’s auditors’ opinion date, so that the Other Parties’ Auditors are able to perform the procedures they reasonably consider necessary to take responsibility for the work of the Audited Party’s auditors as it relates to their auditors’ report on such other Party’s financial statements, all within sufficient time to enable such other Party to meet its timetable for the printing, filing and public dissemination of its annual financial statements. Each Party shall make reasonably available to the Other Parties’ Auditors and management its personnel and Records in a reasonable time prior to the Other Parties’ Auditors’ opinion date and other Parties’ management’s assessment date so that the Other Parties’ Auditors and other Parties’ management are able to perform the procedures they reasonably consider necessary to conduct the Internal Control Audit and Management Assessments.

At Landlord’s request, Tenant shall execute such instruments as may be necessary for such easements, dedications or restrictions. Tenant shall at all times, except in the case of emergencies, have the right to escort Landlord or its agents, representatives, contractors or guests while the same are in the Premises, provided such escort does not materially and adversely affect Landlord’s access rights hereunder.

  • Records and Access The Advisor, in the conduct of its responsibilities to the Company, shall maintain adequate and separate books and records for the Company’s operations in accordance with GAAP, which shall be supported by sufficient documentation to ascertain that such books and records are properly and accurately recorded. Such books and records shall be the property of the Company and shall be available for inspection by the Board and by counsel, auditors and other authorized agents of the Company, at any time or from time to time during normal business hours. The Advisor shall at all reasonable times have access to the books and records of the Company and the Operating Partnership.

  • Maintenance and Access to Records Keep adequate records, in accordance with GAAP, of all its transactions so that at any time, and from time to time, its true and complete financial condition may be readily determined, and promptly following the reasonable request of the Lender, make such records available for inspection by the Lender and, at the expense of the Borrower, allow the Lender to make and take away copies thereof.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.
