Personnel Agreements. Xxxxxx personnel are required to sign confidentiality agreements upon hire and to acknowledge Xxxxxx’x Information Security Policy.
Personnel Agreements. To the best of Seller's knowledge and belief, all personnel, including employees, agents, consultants and contractors, who have contributed to or participated in the conception and development of the Products and Related Technology or Intellectual Property on behalf of Seller either have been party to a "work-for-hire" arrangement or agreement with Seller that has afforded Seller full, effective and original ownership of all tangible and intangible property thereby arising, or have executed appropriate instruments of assignment in favor of Seller as assignee that have conveyed to Seller full, effective and exclusive ownership of all tangible and nontangible property thereby arising.

Personnel Agreements. Snowflake personnel are required to sign confidentiality agreements. Snowflake personnel are also required to sign Snowflake's information security policy, which includes acknowledging responsibility for reporting security incidents involving Customer Data.

Personnel Agreements. UNIVERSITY represents that the covenants set forth in this Agreement shall apply and are binding on any individual employed to perform the SPONSORED RESEARCH under this Agreement, and additionally represents that it has agreements with any such individuals sufficient to satisfy the terms and conditions of this Agreement.

The Owners and all other personnel, including employees, agents, consultants, and contractors, who have contributed to or participated in the conception and development of the Software Programs, Technical Documentation, or Intellectual Property on behalf of Seller either (1) have been party to a "work-for-hire" arrangement or agreement with Seller, in accordance with applicable federal and state law, that has accorded Seller full, effective, exclusive, and original ownership of all tangible and intangible property thereby arising, or (2) have executed appropriate instruments of assignment in favor of Seller as assignee that have conveyed to Seller full, effective, and exclusive ownership of all tangible and intangible property thereby arising. The originals of all such agreements and assignments will have been delivered to the Buyer on or before the Closing Date.
Personnel Agreements. All personnel, including employees, agents, consultants, and contractors, who have contributed to or participated in the conception and development of the Company Intellectual Properties, Mikrocomputer Intellectual Properties, Company Documentation and Mikrocomputer Documentation on behalf of Company or any of its Subsidiaries, as the case may be, either (1) have been party to a ,,work-for-hire" arrangement or agreement with Company or such Subsidiary, as the case may be, in accordance with applicable law, that has accorded Company or such Subsidiary full, effective, exclusive, and original ownership of all tangible and intangible property thereby arising or (2) have executed appropriate instruments of assignment in favor of Company or such Subsidiary, as the case may be, as assignee that have conveyed to Company or such Subsidiary full, effective, and exclusive ownership of all tangible and intangible property thereby arising, in each case subject to the restrictions of applicable law, including the German Act on Inventions by Employees (Arbeitnehmererfindungsgesetz).
Personnel Agreements. All personnel, including employees, agents, consultants, and contractors, who have contributed to or participated in the conception and development of the Owned Software Programs, technical documentation, or Intellectual Property on behalf of the Corporation have executed the agreement included in the Disclosure Schedule in Section 3.12(c)(3).
