Personal Property - Owned. Except as set forth on Schedule A ---------- hereto, Seller has good and marketable title to all personal property included in the Purchased Assets, including in each case all personal property reflected in the Financial Statements or acquired after the date thereof (except any personal property subsequently sold in the ordinary course of the Business), free and clear of all liens, claims and encumbrances and there exists no restriction on the use or transfer of such property.
Personal Property - Owned. All Personal Property and interests in Personal Property owned.
Personal Property - Owned. Seller has good and marketable title to all of the Purchased Assets, free and clear of all mortgages, liens, security interests, charges, claims, restrictions and other encumbrances of every kind.
Personal Property - Owned. Schedules 5.10 and 5.11 attached hereto contain a summary and brief description of all tangible personal properties and assets owned by Seller. All such personal property is in good operating condition and repair, is adequate and suitable for the uses for which intended by Seller in the ordinary course of the Purchased Business, and there does not exist any condition which interferes in any material way with the use or economic value thereof.
Personal Property - Owned. Attached hereto as Schedule 2.11 is a list of all tools, furniture, machinery, supplies, vehicles, equipment, and other items of tangible personal property owned by the Company as of the date hereof having a book value in excess of One Thousand Dollars ($1,000) (the "Personal Property").
Personal Property - Owned. To the best knowledge and belief of Seller and Stockholders, except as set forth in Schedule 5.07 hereto, all personal property included within the Purchased Assets materially conforms to all applicable federal, state and local laws and regulations (including, without limitation, those relating to environmental protection, conservation and occupational safety and health). Except as set forth in Schedule 5.07 hereto, all personal property included with the Purchased Assets, including, without limitation, the personal property identified in Schedule 1.01(B) hereto and all buildings and improvements included within the real property to be conveyed hereunder are, to the best knowledge and belief of Seller and Stockholders, structurally sound, without material defects and are in good operating condition and repair, normal wear and tear excepted, and there does not exist any condition that materially interferes or could interfere with the economic value or use thereof.
Personal Property - Owned. Except for Permitted Liens or as set forth on Schedule 3.10 hereto, each member of the North Shore Affiliated Group has good and marketable title to all of the personal property included in the Purchased Assets owned by such member, including all personal property reflected on the Interim Balance Sheet or acquired after the date thereof (except any personal property subsequently sold in the Ordinary Course), free and clear of all options, Liens, leases, covenants, conditions, agreements and other restrictions of every kind and there exists no restriction on the use or transfer of such property.
Personal Property - Owned. Except as specifically disclosed on the Balance Sheet and footnotes thereto, MBI has good, indefeasible and marketable title to all personal property which it purports to own including, but not limited to, that reflected on the Balance Sheet (except as disposed of since the Balance Sheet Date in the ordinary course of business), and, except as may be reflected on UCC-1 statements filed in the appropriate office in the State of California, free and clear of all security interests, liens, encumbrances and restrictions.
Personal Property - Owned. Except as otherwise disclosed on Schedule 1.4.4, (a) Seller has good and marketable title to all personal property included in the Purchased Assets reflected on the Seller Financial Statements (except any sold since the date thereof in the ordinary course of business), free and clear of all mortgages, liens, security interests, charges, claims, restrictions and other encumbrances of every kind, and (b) the personal property included in the Purchased Assets utilized in Seller's business is owned by Seller and may be used for such purposes without conflict with the rights of others.
Personal Property - Owned. CORPORATION has good and merchantable title to all personal property reflected on Schedule 3.12.1 (with the exception of a perfected security interest held by _______ on the _________ described in Schedule 3.12.2) and all such property is located at the location specified on Schedule 3.12.1. It is specifically agreed that as of the time of Closing CORPORATION assets shall include only those assets listed on Schedules 3.12.1 and 3.12.3, except as to assets acquired or expended by CORPORATION in the ordinary course of business before Closing.
