Personal Performance. The Contracted Services are to be personally undertaken by either the Specified Personnel, or by another person or other persons approved in writing by the Delegate. Liaison and reporting The Consultant must liaise with, and report to, the Delegate as the Delegate reasonably requires during the Term. Waiver of rights of recovery from the Crown The Consultant waives all present and future rights to claim against the Crown for: personal injury to, or death of, the Consultant; either or both loss of, or damage to, any of the Consultant's property; and financial loss to the Consultant; arising from, or attributable to, the Consultant carrying out the Contracted Services. This waiver does not operate to release the Crown from liability arising from, or attributable to, a wrongful (including negligent) act or omission of the Crown.
Personal Performance. Due to the personal nature of the services to be rendered by the Consultant, the Consultant may not assign this Agreement in whole or in part. Any attempt to make such an assignment shall be void. The Company may assign all or a portion of its rights and liabilities under this Agreement to a subsidiary, an affiliate or a successor to all or a substantial portion of its business and assets without the necessity of consent from the Consultant. Subject to the foregoing, this Agreement will inure to the benefit of and be binding upon each of the heirs, assigns and successors of the respective parties.
Personal Performance. It is specifically understood and agreed that Xxxxxx X. Xxxxxxx shall personally perform all services to be undertaken by the Consultant under this Agreement and that such services shall not be delegable or assignable to others employed by Consultant, or to third-parties, without the express written consent of the Company.
Personal Performance. 5.1. The Institution shall ensure that the Researcher personally performs the Research Project and, if applicable, performs his/her coordination tasks as set out hereunder and he/she may not delegate or name a replacement, unless the Institution has received prior written authorisation to do so from the Foundation. Notwithstanding the foregoing, if applicable, it is understood and agreed by the Foundation that the Researcher may delegate certain tasks and responsibilities from the Research Project within the members of the working group (the “Group”) presented in the Application File. For the avoidance of doubt, if applicable, the Researcher shall be the sole point of contact between the Group and the Foundation.
Personal Performance. The Institution shall ensure that the Xxxxx Xxxxxx personally performs the Research Project and may not delegate or name a replacement, unless the Institution has received prior written authorisation to do so from the Foundation.
Personal Performance. The contractor is obliged to perform the service personally. If he makes use of the support of third parties, it will be in his own name and on his own account. In case of teaching performances, approval by the client is required. The contractor is at any time solely answerable to the client as far as the conformance of his obligations is concerned. This contract does not constitute any obligations of the client towards third parties. The contractor expressly indemnifies the client from any claim by third parties.
Personal Performance. The performance of all activities contemplated by this agreement shall be accomplished personally by the CONTRACTOR and CONTRACTOR'S employees. The CONTRACTOR shall not assign or subcontract performance to others unless specifically authorized in writing by the DEPARTMENT. The DEPARTMENT shall not provide typing, photocopying, or any other personal services except as otherwise provided in writing herein.
Personal Performance. The Xxxxx Xxxxxx shall personally perform the Research Project and may not delegate or name a replacement, unless he/she has received prior written authorisation to do so from the Foundation.
Personal Performance. Executive’s performance and discharge of Executive’s duties and responsibilities hereunder shall be the subject of regular review, the object of which is to assess performance during the period under review and to set agreed performance standards for future review periods. The rules of the Deferral Plan and the Group’s other equity and long term incentive plans contain clawback provisions that allow the Group to reduce deferred compensation awards in whole or in part (in its reasonable judgment) if (broadly stated) performance based rewards later prove not to be justified in the longer term. These clawback provisions will continue to apply to any deferred compensation awards made to Executive such that the Group may reclaim any unvested part of Executive’s deferred compensation in the light of the performance of the Group, the Company, any member of the Group and any business area or team, and also based on Executive’s conduct, capability or performance, although it is agreed that for any awards made after the public listing of at least 30% of the Company’s shares, and for the portion of prior awards relating to the period post such public listing, it is the performance of the Company rather than the Group that will be the main factor influencing the operation of generally applied clawback.
Personal Performance. This Agreement calls for the personal performance of Services by Consultant. Accordingly, Consultant may not assign any rights or delegate any duties under this Agreement to anyone without the prior written approval of GenCorp.
