Permits and Other Authorizations. Section 2.10 of the Seller Disclosure Schedule lists all material licenses, permits, franchises and other authorizations of any Governmental Authority (the "Permits") necessary for, or otherwise material to, the conduct of the Business as currently conducted. Except as set forth in Section 2.10 of the Seller Disclosure Schedule, all such Permits are in full force and effect, and no proceeding is pending or, to the knowledge of each of Seller and Wolfman, threatened seeking the revocation or limitation of any such Permit.
