Permits and General Obligations. The Grantee shall be responsible for obtaining all generally applicable permits, licenses, or other forms of approval or authorization prior to the commencement of any activity that disturbs the surface of any street, curb, sidewalk or other public improvement in the Public Way, or impedes vehicular traffic. The issuance of such permits shall not be unreasonably withheld or delayed. Construction, installation, and maintenance of the Cable System shall be performed in a safe, thorough and reliable manner using materials of good and durable quality. Notwithstanding the requirements herein, Grantee shall not be required to obtain a permit for individual drop connections to Subscribers, servicing or installing pedestals or other similar facilities, or other instances of routine maintenance or repair to its Cable System. All transmission and distribution structures, poles, other lines, and equipment installed by the Grantee for use in the Cable System in accordance with the terms and conditions of this Franchise Agreement shall be located so as to minimize the interference with the proper use of the Public Ways and the rights and reasonable convenience of property owners who own property that adjoins any such Public Way.

The Company shall be solely responsible, either through its employees or its authorized contractors, for constructing, installing, and maintaining the Cable System in a safe, thorough, and reliable manner in accordance with all applicable standards and using materials of good and durable quality. The Company shall assure that any person installing, maintaining, or removing its facilities is fully qualified and familiar with all applicable standards. No third party shall tamper with, relocate, or otherwise interfere with the Company’s facilities in the rights-of-way without the Company’s approval and supervision; provided, however, that the Company shall make all reasonable efforts to coordinate with other users of the Streets to facilitate the execution of projects and minimize disruption in the public rights-of-way. All transmission and distribution structures, poles, other lines, and equipment installed by the Company for use in the Cable System in accordance with this Agreement shall be located so as to minimize interference with the proper use of the Streets and the rights and reasonable convenience of property owners who own property adjoining the Streets.
Permits and General Obligations. The City hereby grants and conveys to SiFi the full right, power and authority to erect, install, construct, repair, replace, reconstruct, maintain, operate or retain in, on, over, under, upon, across, or along any Public Way, the System including, wires, cables, facilities, Cabinets, components, materials, apparatus ducts, conduits, connectors, vaults, manholes, manhole covers, pedestals, appliances, splitters, pots, attachments, and other related property or equipment as may be necessary or appurtenant to the System, within the Boundary, and all extensions and additions thereto. SiFi shall have the right, subject to City approval of the applicable permit, which approval shall not be unreasonably withheld, delayed, or conditioned, to determine the final engineering design and location of all equipment and other parts of the System. Both Parties agree to cooperate during the design and permitting process and SiFi must first disclose all engineering designs to the City for permit approval. Notwithstanding the foregoing, installation of the System and use of the Public Way is subject to the applicable permit for a specific location. It is understood that SiFi’s right to place the System is non-exclusive, but that upon issuance of the applicable permit, the area specified therein shall be exclusive for the System, subject to the terms and conditions of this Agreement. Further, SiFi’s rights granted under this Agreement and the particular permit are irrevocable until the expiration or sooner termination of this Agreement and/or the permit as provided herein or therein.

Permits and General Obligations. SiFi is deemed to have approval to locate the System within the Boundary, subject to applicable permits including but not limited to encroachment, licenses, or other forms of plan review and approval or authorization necessary to construct, install, operate, maintain, replace, reconstruct, or repair the System, or any part thereof, during the term of this Agreement and any extensions. SiFi shall provide plans to the City for City approval for the issuance of permits to construct the System. The City agrees to expedite its review and approval of the plans and issuance of permits to construct the System and in any event agrees to use good faith efforts to complete its review, approval and issuance of such plans and permits within twenty one (21) days after submission of the plans by SiFi to the City. As part of this process, the City shall provide plan check and inspections as part of Section 2.4.2 SPCO payment. The City shall issue such permits in accordance with Section 2.5.2. Construction and installation of the System shall be performed in a safe manner and by exercising reasonable standard of care. All permits shall provide for and allow standard work hours daily from 7am to 7pm local time on residential roads; provided that no work will be performed on Sunday and no Microtrenching will be performed on Saturday, unless City has different requirements which must be provided to SiFi in advance. Hours of operations on non-residential roads, including but not limited to high volume arterials and collectors, shall be determined on a case-by-case basis at the discretion of the City. All transmission and distribution structures and equipment installed by SiFi for use in the System in accordance with the terms and conditions of this Agreement shall be located to not interfere with the proper use of the Public Way and the rights of property owners who own property that adjoin any such Public Way. SiFi will the rights granted to SiFi pursuant to this Agreement and a City building code provision, the City building code provision will be interpreted in a manner that supports the objectives and intent of this Agreement. For the avoidance of doubt the City’s adopted building code shall not apply to ducts, fiber and associated components installed in the Public Way.

The issuance of such permits shall not be unreasonably withheld, conditioned, or delayed. To the extent repairs or maintenance will impair access over the public ways, Grantee shall provide advance notice to the Town. All transmission and distribution structures, poles, other lines, and equipment installed by the Grantee for use in the Cable System in accordance with the terms and conditions of this Franchise Agreement shall be located so as to minimize the interference with the proper use of the Public Ways and the rights and reasonable convenience of property owners who own property that adjoins any such Public Way and shall be subject to approval by the Town.

In no case shall any cable be placed above ground in such a way as to disrupt or interfere with the regular flow of traffic, stormwater, or right-of-way maintenance activity. Franchise shall have authority to remove any such obstruction in the interest of public safety and without notice to the Company. All transmission and distribution structures, poles, other lines, and equipment installed by the Company for use in the Cable System in accordance with this Agreement shall be located so as to minimize interference with the proper use of the Streets and the rights and reasonable convenience of property owners who own property adjoining the Streets.
