Periodic Information. For so long as the Securities are outstanding the Company shall file all reports required to be filed by the Company under Section 13 or 15(d) of the Exchange Act and shall provide the holders of the Securities and prospective purchasers of such shares with the information specified in Rule 144A(d) under the Securities Act.

For so long as the Shares or any Conversion Shares are outstanding the Company shall file all reports required to be filed by the Company under Section 13 or 15(d) of the Exchange Act and shall provide the holders of the Shares and the Conversion Shares and prospective purchasers of such shares with the information specified in Rule 144A(d) under the Securities Act.

The Company will comply with the reporting requirements of Section 13 and 15(d) of the Securities and Exchange Act of 1934, as amended, and will comply with all other information reporting requirements of the Securities and Exchange Commission (the "Commission") (including Rule 144 under the Securities Act of 1933, as amended (the "Securities Act")) from time to time in effect and relating to the availability of an exemption from the Securities Act for the sale of any Common Shares issued upon the exercise of Warrants. The Company will cooperate with each Warrantholder in supplying such information as may be reasonably necessary for such holder to complete and file any information reporting forms presently or hereafter required by the Commission as a condition to the availability of an exemption from the Securities Act for the sale of any Common Shares issued upon exercise of Warrants. The Company will furnish to each holder of any Warrants upon request, promptly upon their becoming available, copies of all financial statements, reports, notices and proxy statements sent or made available generally by the Company to its stockholders, and copies of all regular and periodic reports and all registration statements and prospectuses filed by the Company with any securities exchange or with the Commission.

To the extent it has the Legal Right, the Seller shall deliver to Buyer, when available, periodic financial information and, following the expiration (or waiver) of the rights of the other owners of Equity Interests in the Company under the Odyssey ROFR Provisions in respect of the transactions contemplated by this Agreement and the other Transaction Agreements, operating information, attributable to the Company, to the extent that such information is received by Seller or any of its Affiliates.
Periodic Information. So long as any Indebtedness is outstanding under the Debentures, the Company shall file all reports, if any, required to be filed by the Company under Section 13 or 15(d) of the Exchange Act and, if the Company is not subject to Section 13 or 15(d) of the Exchange Act and is not exempt from the reporting pursuant to Rule 12g3-2(b) under the Exchange Act, shall provide the holders of the Warrant Shares and prospective purchasers of such shares with the information specified in Rule 144A(d) under the Securities Act.
Periodic Information. 37.1 At the end of each financial year, under the Custodian’s supervision, the Management Company shall prepare the Compartment’s accounting documents, the list of which is set out in the instructions of the Autorité des Marchés Financiers.

The Chief Financial Officer or Treasurer shall prepare its financial information, including its annual audited and interim unaudited financial statements pursuant to general accepted accounting practices, and shall provide the same to the Shareholders at the corporate domicile within the first fiscal quarter of the following fiscal year.

In the interval between execution of this Agreement and the Closing, Seller shall use its best efforts to provide Purchaser with weekly periodic information concerning aggregate deposits of the Branch Office (broken down by type of deposit account, maturity dates, or in other respects, as appropriate) as produced by Seller in its normal course of business;
