Period of Provision. Service Provider shall provide Termination Assistance Services commencing on the date a determination is made by DIR that there shall be an Assistance Event, which date may be up to six (6) months prior to the effective date of such Assistance Event or on such earlier date as DIR may request, and continuing for up to eighteen (18) months after the effective date of such Assistance Event, as designated by DIR, subject to such further extensions as permitted in Section 4.6(a)(iii).
Period of Provision. Supplier shall provide such Termination Assistance Services to Kraft and the Eligible Recipients, or their designee(s) (i) with reasonable prior written notice given the nature of the tasks being requested, with such services commencing on the date specified in the notice, which may be up to six months prior to the expiration of the Term or on such earlier date as Kraft may reasonably request given the nature of the tasks being requested, and continuing for the period of time requested by Kraft in its notice to Supplier, which may be up to 12 months following the effective date of the expiration of the Term (as such Term may be extended pursuant to Section 3.2), (ii) commencing upon any notice of termination (including notice based upon breach or default by Kraft, breach or default by Supplier, or termination in whole or in part for convenience by Kraft) of the Term with respect to all or any part of the Services, and continuing for the period of time requested by Kraft in its notice to Supplier, which may be up to 12 months following the effective date of such termination of all or part of the Services, or (iii) commencing upon notice of termination of all or part of the Services to an Eligible Recipient no longer Controlled by Kraft and continuing for the period of time requested by Kraft in its notice to Supplier, which may be up to 12 months following the effective date of such termination.
Period of Provision. Supplier shall provide such Termination Assistance Services to ABM or its designee (i) commencing upon notice up to six (6) months prior to the expiration of the Term or on such earlier date as ABM may reasonably request and continuing for up to twelve (12) months following the effective date of the expiration of the Term (as such Term may be extended pursuant to Section 3.2), (ii) commencing upon any notice of termination (including notice based upon breach or default by ABM, breach or default by Supplier or termination for convenience by ABM) of the Term with respect to all or any part of the Services, and continuing for up to twelve (12) months following the effective date of such termination of all or part of the Services, or (iii) commencing upon notice of termination of all or part of the Services to an Eligible Recipient no longer Controlled by or under common Control with ABM and continuing for up to twelve (12) months following the effective date of such termination.
Period of Provision. As and to the extent requested by Sears from time to time, CSC shall provide to the Eligible Recipients Termination Assistance Services commencing upon request from Sears at any time or times during the Term of any Transaction Document and continuing for up to twenty-four (24) months following the expiration or termination of any Services.
Period of Provision. Vendor shall provide the Termination Assistance Services to Oncor (i) upon ninety (90) days' prior notice from Oncor commencing up to nine (9) months prior to the expiration of the term of the applicable Services Agreement and continuing for up to twelve (12) months following the effective date of the expiration of the term of the applicable Services Agreement, (ii) commencing upon any proper notice of termination (including notice based upon breach or default by Oncor, breach or default by Vendor or termination for convenience by Oncor (subject to subsection (d) below)) of the term of the applicable Services Agreement, and continuing for up to twelve (12) months following the effective date of such termination, (iii) commencing upon notice of removal of an Eligible Recipient by Oncor and continuing for up to twelve (12) months following the effective date of such removal or (iv)commencing upon notice from Oncor that there will be an insourcing or resourcing under the applicable Services Agreement and continuing for up to twelve (12) months following the effective date of such notice. For purposes of this Master Agreement and the Services Agreements, the terms "Term" and "term," respectively, shall automatically be extended until the date determined by Oncor as the completion date of the Termination Assistance Services. Oncor may only terminate a Services Agreement in its entirety.
Period of Provision. Supplier shall provide Disengagement Services to Ascension Health, the applicable Eligible Recipients and their designee(s), commencing upon a request for Disengagement Services, and, at Ascension Health’s request, continuing for up to twelve (12) months following the effective date of the notice of removal of the Services, or, if applicable, the expiration or termination of the Term of with respect to Affected Services.
Period of Provision. Supplier shall provide such Transition Assistance Services to the Village commencing upon a binding commitment by the Village to implement the New Supplier Product [delivery of transition project schedule to the Village and notice from the Village up to ninety (90) calendar days prior to the cutover to New Supplier Product] and continuing [for up to ninety (90) calendar days following the effective date of the cutover to] until the cutover to the New Supplier Product has successfully met all of the Transition Criteria as set forth below (scheduled cutover may be extended pursuant to the provisions of this Agreement
Period of Provision. Supplier shall provide such Termination Assistance Services to the Village or its designated successor supplier(s) (commencing upon notice from the Village up to one hundred and eighty (180) calendar days prior to the expiration of the Term and continuing for up to one hundred and eighty (180) calendar days following the effective date of the expiration of the Term (as such Term may be extended pursuant to the provisions of this Agreement.
Period of Provision. Supplier shall provide Termination Assistance Services to Allianz and its designee(s), commencing upon a 30 days prior written request for Termination Assistance Services specifying the period for such request (not exceeding eighteen (18) months following the effective date of the notice of removal of the Services, or, if applicable, the expiration or termination of the Term with respect to affected Services.
Period of Provision. Supplier shall provide such Termination Assistance Services to New Century and any Eligible Recipient, or their designee(s), (i) commencing upon notice from New Century up to six (6) months prior to the expiration of the Term or on such earlier date as New Century may reasonably request, and continuing for up to twelve (12) months following the effective date of the expiration of the Term (as such Term may be extended pursuant to Section 3.2), (ii) commencing upon any notice of termination (including notice based upon breach or default by New Century, breach or default by Supplier, or termination in whole or in part for convenience by New Century) of the Term with respect to all or any part of the Services, and continuing for up to twelve (12) months following the effective date of such termination of all or part of the Services, or (iii) commencing upon notice of termination of all or part of the Services to an Eligible Recipient no longer Controlled by New Century and, subject to the Change Control Procedures and Section 4.3(b)(8) and (9), continuing for up to twelve (12) months following the effective date of such termination.
