Common use of Performance of Duties Clause in Contracts

Performance of Duties. During the term of the Agreement, except as otherwise approved by the Board or as provided below, the Executive agrees to devote his full business time, effort, skill and attention to the affairs of the Company and its subsidiaries, will use his best efforts to promote the interests of the Company, and will discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:

Performance of Duties. During the term of the Agreement, except as otherwise approved by the Board CEO or as provided below, the Executive agrees to devote his full business time, effort, skill and attention to the affairs of the Company and its subsidiaries, will use his best efforts to promote the interests of the Company, and will discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:

The foregoing shall notfirm, howeverentity, preclude Executive from devoting reasonable time, attention and energy in connection organization or person which are inconsistent with the following activities, provided that such activities do not materially interfere with the performance provisions of his duties and services hereunder:this Agreement.

Except to the extent the restrictions contained in Section 5 may apply, nothing in this Agreement shall prohibit Executive from (a) making and managing passive investments, and (b) engaging in religious, academic, charitable or other community or non-profit activities, in a manner, and to an extent, that will use not interfere with his best efforts duties to promote the interests of the Company, and will discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:.

The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:

During the term of the Agreement, except as otherwise approved by the Board CEO or as provided below, the Executive agrees to devote his full substantial business time, effort, skill and attention to the affairs of the Company and its subsidiaries, will use his best efforts to promote the interests of the Company, and will discharge his responsibilities hereunder in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:hereunder (the “Permitted Activities”):

The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:

The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:

Performance of Duties. During Executive agrees to perform all duties called for under this Agreement and to the best of his ability to devote his time, energies and skills exclusively to such duties during the term of his employment. Executive's employment on this exclusive basis is with the understanding that he may have business investments and participate in business ventures which may, from time to time, require minor portions of his time, but shall not interfere with his duties under this Agreement. In addition, he shall be free to make speeches, write articles and participate in public debate and discussions in and by means of any medium of communication so long as such activities are not done in a manner inconsistent with his obligations contained in this Agreement, except as otherwise approved by subject to the approval of the Board or as provided below, the Executive agrees to devote his full business time, effort, skill and attention to the affairs of the Company and its subsidiaries, will use his best efforts to promote the interests of the Company, and will discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:Directors.

During the term of the Agreement, except as otherwise approved by the Board or as provided below, the Executive agrees to devote his full business time, effort, skill and attention to the affairs of the Company and its subsidiariesaffiliates, will to use his best efforts to promote the interests of the Company, and will to discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:

During the term of the Agreement, except as otherwise approved in writing by the Board CEO or as provided below, the Executive agrees to devote his full business time, effort, skill and attention attention, consistent with businesses of the type and scope of the Company, to the affairs of the Company and its subsidiaries, will use his best efforts to promote the interests of the Company, and will discharge his responsibilities in a diligent and faithful manner, consistent with sound business practices. The foregoing shall not, however, preclude Executive from devoting reasonable time, attention and energy in connection with the following activities, provided that such activities do not materially interfere with the performance of his duties and services hereunder:
