The Company’s Total Shareholder Return will be calculated over the full 3-year performance period and ranked on a percentile basis in comparison to the calculated Total Shareholder Return values for companies in the “LTIP Reference Group” as defined below. The beginning share price for purposes of this calculation for both Callaway and the companies in the reference group will be based on the average of the twenty (20) trailing closing stock prices preceding the beginning of the performance period. The final share price for purposes of this calculation for both Callaway and the companies in the performance peer group will be based on the average of the closing stock prices of the twenty (20) trailing trading days, inclusive of the final trading day, of the 3-year performance period. The “LTIP Reference Group” will consist of the companies listed in the Consumer Durables & Apparel sector of the S&P 1500 index, excluding the Homebuilding Sub-Industry group.
