Performance Based Requirements. The outcome supports the Xxxxx County Community Services Strategic Plan goal of a connected and resilient community. Performance Based Requirements. For the three-year period beginning January 1, 2023 and ended December 31, 2025 (the “Performance Period”), the Participant shall be credited with a number of RSUs equal to the Target Number of RSUs multiplied by a percentage that (1) will be determined by the Committee after the Performance Period based on the Company’s achievement of financial performance objectives established for the Performance Period and (2) will be between 0% and 200%. The performance objectives and the methodology for establishing the number of RSUs to be credited are set forth in Exhibit A hereto. The Committee shall, following the end of the Performance Period, determine whether and the extent to which the performance objectives for the Performance Period have been satisfied and the number of RSUs to be credited to the Participant. Such determinations by the Committee shall be final and binding. Any RSUs that are not credited to the Participant in accordance with the foregoing provisions of this Section 8 hereof shall terminate upon the date of such determinations by the Committee.

The Contractor shall meet or exceed the following requirements: Program Goals Anticipated Outcomes Target number of children to be served in Tier 2/3 120 Target number of parents involved in education opportunities 40 TIER 1 Staff report on increased levels of confidence, knowledge and skill acquisition after 321 Insight Essential training Increase of 50% from baseline Staff turnover will decrease Decrease of 10% from baseline Children will require fewer behavior plans based on the services provided Decrease behavior plans by 10% of baseline Children with intense needs will have greater access to one-on-one supports Number of children requiring one-on-one supports and the percentage of children who received those supports. Referrals to community partners for children with intense needs will increase 100% of referrals will be tracked and the rate of success in regards to engaging families with community partners will be reported.

Approximately 1,885 households, of which 935 earn low to moderate income.
Performance Based Requirements. The RSUs shall be eligible to be earned in four separate tranches (each, a “Tranche”), as set forth on Exhibit A hereto, subject to (i) achievement on any Measurement Date of a VWAP that equals or exceeds the applicable VWAP Objective set forth on Exhibit A with respect to such Tranche and, (ii) with respect to any Share Settled RSUs, satisfaction of the Applicable Service Condition corresponding to such Tranche as set forth on Exhibit A. RSUs for which restrictions do not lapse in accordance with this paragraph on or prior to the end of the Performance Period shall be immediately forfeited without payment at the conclusion of the Performance Period.
