Performance Based Contract. Contractor acknowledges that this is a fixed price performance based Contract and that the Contractor is obligated to perform all of the Contractor’s Responsibilities and meet all of the Contractor Performance Standards in this Contract. DHS acknowledges that it is responsible for meeting all State Responsibilities in the RFP and this Contract. The price for Transition is $XXXXXXX. The prices for Operations and Transition in the Base Term are: SFY 2010 $XXXXX SFY 2011 $XXXXX SFY 2012 $XXXXX The prices for the three (3) Renewal Option Years are: SFY 2013 $XXXXX SFY 2014 $XXXXX SFY 2015 $XXXXX In addition to the price identified herein, A) If the Contractor requested equipment and supplies in their Bid Proposal for the Transition, the Department will provide the equipment and supplies if approved to the extent permitted under state procurement laws; B) During the Transition, Operations, and Renewal Option Years, if applicable, the Department will provide the Contractor the equipment and supplies specified in Attachment B of the contract. Without limiting any other provision of this Contract, payment of the Contractor’s compensation may, in the sole discretion of DHS, be tied to contract performance as follows: Transition Payment: Eighty percent (80%) of the Transition Price may be invoiced at the end of the first two months of the Contract term after a successful implementation to operations as determined by the Department. Payment shall be made upon presentation of evidence that a successful transition to operations has occurred. Twenty percent (20%) of the Transition Price may be invoiced on or after August 1, 2010, following the Department’s approval of the Contractor’s successful commencement of the Operations Phase.
Performance Based Contract. Contractor acknowledges that this is a fixed price performance based Contract and that the Contractor is obligated to perform all of the Contractor’s Responsibilities and meet all of the Contractor Performance Standards in this Contract. DHS acknowledges that it is responsible for meeting all State Responsibilities in the RFP and this Contract. The price for Implementation is $7,153,200. In addition to this sum, Contractor shall also be entitled to an initial payment of $405,797.00 upon acceptance of the following software and hardware (“Imaging Deliverables”) purchased pursuant to this Amendment:

Performance Based Contract. These are SAMPLE options for rewarding performance and deterring poor performance as opposed to assessing a fixed tonnage fee. The goal is to encourage the contractors to collect, transport and dispose of the septage waste in an efficient manner. Equally, the goal is to discourage contractors from not efficiently servicing customer septic pump-outs; not filling trucks with non-septage waste to maximize payments; and to not dispose septic waste in any other place than an approved septage treatment facility FOR FEACAL SLUDGE COLLECTION, TRANSPORTATION AND DISPOSAL BETWEEN (MUNICIPALITY AND ORGANIZATION) This Agreement is made at (name of city/town) this (day, month, year) by and between (name) City, (address) herein called the “First Party” and (name of company or organization and address) herein referred to as the “Second Party”. The First Party grants the Second Party an Agreement relating to fecal sludge collection originating from pit latrines; household septic tanks; commercial and institutional buildings; public toilets; and other locations in the municipal or town area. This agreement also includes transportation of all the fecal sludge to a designated treatment facility located at (location). The Parties hereby agree as follows:
Performance Based Contract. In performing the requirements of this contract, the contractor will utilize the technical and management approaches proposed in response to solicitation N00019-96-R-0026. The contractor is allowed flexibility in performance of this contract to the extent that performance outcomes specified outcomes specified in Section C of the contract and offered in the proposal are not degraded. Performance Based Contract. Compensation is conditioned on the contractor providing all necessary work and deliverables as set forth in the Statement of Work. Both parties agree and understand that pursuant to RCW 39.26.180(3), this contract is intended to be a performance based contract and that ESD obligation to compensate is made in accordance with the actual performance provided by the Contractor, relative to the requirements set forth the statement of work. Contractor will not be reimbursed for travel expenses. No advance payment shall be made for any Products or Services furnished by Contractor pursuant to this Contract. All payments are predicated upon ESD first receiving a proper and accurate invoice.
