Perfection of Rights. All documents and instruments necessary to establish, perfect, and maintain the rights of the Company in the Company IP have been validly executed, delivered, and filed in a timely manner with the appropriate Governmental Body.
Perfection of Rights. All documents and instruments necessary to establish, perfect, and maintain the rights of the Seller in the Seller IP have been validly executed, delivered, and filed in a timely manner with the appropriate Governmental Body.
Perfection of Rights. Seller will assist Purchaser in the filing or renewal of financing statements as required to perfect the sale and assignment to Purchaser of Seller’s right, title and interest in the Dealer Receivables and Related Security under the applicable state version of the Uniform Commercial Code, and Seller will take any other actions required to ensure that Purchaser’s security interest is enforceable as a first priority security interest.

Consultant shall provide all assistance the Company may request, and shall execute, verify and deliver such documents and perform such other acts (including appearing as a witness) the Company may reasonably request for use in applying for, obtaining, perfecting, evidencing, sustaining and enforcing such proprietary rights and the assignment thereof, as set forth above. Consultant’s obligation to assist the Company with respect to proprietary rights in any and all countries shall continue beyond the termination of any agreement between the Company and Consultant regarding the Services, but the Company shall compensate the Consultant at a reasonable rate after termination of such agreement for the time actually spent by the Consultant at the Company’s request on providing such assistance.

All documents and instruments relating to each item of Registered IP required to be identified in Part 2.9(b) of the Company Disclosure Schedule that are required to be filed with a Governmental Body to establish, perfect, and maintain the rights of the Acquired Corporations in the Company IP have been validly executed, delivered, and filed by the applicable deadline with the appropriate Governmental Body.
Perfection of Rights. Upon request, Consultant shall promptly provide information and/or materials to assist in preparing applications for patents, copyrights, or trademarks, execute such applications as appropriate, and perform all other acts and execute and deliver all other documents appropriate to effect, perfect, or register the foregoing assignment of rights in Work Product, without additional compensation. In the event that Company is unable to secure Consultant’s signature on any documents deemed necessary by Company to carry out the purposes of this paragraph, Consultant hereby irrevocably designates and appoints Company or its designee(s) as Consultant’s agent and attorney‑in‑fact, which appointment is coupled with an interest, to act for and in Consultant’s behalf to execute, verify and file any such documents.

Executive shall provide all assistance the Company may request, and shall execute, verify and deliver such documents and perform such other acts (including appearing as a witness) the Company may reasonably request for use in applying for, obtaining, perfecting, evidencing, sustaining and enforcing such proprietary rights and the assignment thereof, as set forth above. Executive’s obligation to assist the Company with respect to proprietary rights in any and all countries shall continue beyond the termination of Executive’s employment with the Company, but the Company shall compensate Executive at a reasonable rate after termination of Executive’s employment for the time actually spent by Executive at the Company’s request on providing such assistance.

Service Provider shall provide all assistance the Company may request, and shall execute, verify and deliver such documents and perform such other acts (including appearing as a witness) the Company may reasonably request for use in applying for, obtaining, perfecting, evidencing, sustaining and enforcing such proprietary rights and the assignment thereof, as set forth above. Service Provider’s obligation to assist the Company with respect to proprietary rights in any and all countries shall continue beyond the termination of any agreement between the Company and Service Provider regarding the Services, but the Company shall compensate Service Provider at a reasonable rate after termination of such agreement for the time actually spent by Service Provider at the Company’s request on providing such assistance.
Perfection of Rights. Each of the Acquired Corporations has made all filings and payments and taken all other actions required to be made or taken to maintain each material item of Registered IP that is Company IP in full force and effect by the applicable deadline and otherwise in accordance with all applicable Legal Requirements. Part 2.9(g)(i) of the Disclosure Schedule sets forth a detailed listing with respect to each item of Registered IP that is Company IP and all actions, filings and payment obligations due to be made to any Governmental Body within ninety (90) days following the Effective Date.
Perfection of Rights. All documents and instruments necessary to establish, perfect and maintain the rights of the Target and its Subsidiaries in the Registered IP have been validly executed, delivered and filed in a timely manner with the appropriate Governmental Entity.
