PENFORD NEW ZEALAND GUARANTEE. For the purposes of clause 1.2(e) of the Penford New Zealand Guarantee, Penford New Zealand Limited and the Security Trustee agree that the Credit Agreement, when executed, will replace the US Credit Agreement as defined in the Penford New Zealand Guarantee. Accordingly, all references to the US Credit Agreement in the Penford New Zealand Guarantee shall be read as references to the Credit Agreement.
