PAYMENT WITHOUT DEDUCTION. All payments due under this Agreement will be made in full without deduction for or on account of any present or future taxes or duties of whatever nature that may be imposed, except as provided in Section 3.5.
PAYMENT WITHOUT DEDUCTION. All payments to be made to the Security Trustee under this Deed shall be made free and clear of and (save as required by law) without any deduction for or on account of any tax, withholding, charges, set-off or counterclaim. All payments shall be made into such account or accounts as the Security Trustee may from time to time specify for that purpose.
PAYMENT WITHOUT DEDUCTION. Notwithstanding any claim, the Client shall pay to Concargo the full amount stated on Concargo’s invoice on due date without any deduction or set-off and without prejudice to the Client’s rights contended for against Concargo. In respect of any such claim the Client shall not be entitled to deduct or set-off any monies which it owes to Concargo against any monies which it contends are due to it by either Concargo and/or any Sub-Contractor.

Notwithstanding any such notification of claim as set forth in this agreement, the Customer shall pay to Skankane the full amount stated on Skankane’s invoice on due date without any deduction or set-off and without prejudice to the Customer’s rights contended for against Skankane in respect of any such claim the Customer shall not be entitled to deduct or set-off any monies which it owes to Skankane against any monies which it contends are due to it by either Skankane and/or the Sub-Contractor.
PAYMENT WITHOUT DEDUCTION. All payments under this agreement must be paid to a bank account provided by ATL or Cortendo (as applicable), and shall be made in U.S. Dollars. If payments are made to Cortendo or ATL (as applicable) in another currency than the U.S. Dollar, Cortendo or ATL (as applicable) shall convert them into U.S. Dollars for the purpose of the calculation of royalties or other amounts due by applying the average daily interbank exchange “ask” rate as published on xxx.xxxxx.xxx for the calendar quarter for which payment to ATL is due, or in the case of Sub-Licensees, using the exchange rate methodology such Sub-Licensee generally applies with respect to other products. Such payments shall be made free and clear of and without deduction in respect of any demand, set-off, counter claim or other dispute except as otherwise specifically provided in this agreement (eg, with respect to withholding tax obligations pursuant to clause 22).
PAYMENT WITHOUT DEDUCTION. Each Guarantor shall make all payments required hereunder, free of any deductions, and without abatements, deduction or setoff.

PAYMENT WITHOUT DEDUCTION. The Guarantor must pay money owing under this deed in immediately available funds without any deduction. The Guarantor irrevocably and unconditionally waives any right of set-off or counter-claim in relation to any money owing by it under this deed and any right to rely on any defence available to the Borrower.
