Payment; Reports. Within twenty (20) days after the close of each calendar quarter, Partner will deliver to SAP a report (“Payment Report”) which will provide all information reasonably required by SAP identifying each Customer by an unique customer number for computation, customer name (no abbreviations), customer address (street, city, postal code, country), group (if any), and/or confirmation of the fees, if any, due or credited to Licensor for the period being reported, including without limitation:
Payment; Reports. Within forty-five (45) days after the end of each calendar quarter during the Term, the Company shall provide the Licensor, along with the Royalties, with a report stating the Company’s Net Sales, Gross Margin, revenues from sublicenses made by the Company to third parties and, if applicable, all information used to establish the pro-rata calculation should the Company sell a Formulation, the whole for that calendar quarter by the Company. Such report shall also indicate the quantity of Licensed Products sold by the Company during such calendar quarter. The Company shall provide the reports due to the Licensor at the address set forth in Section 14.14.

The payment report shall be submitted to Licensor even if the license and maintenance fees due is less than the minimum license fee set forth Exhibit C. Partner will provide the report in Excel-file format in electronic form. Licensor will inform in writing Partner in case of change to the reporting format. Any changes or corrections to the reports submitted to Licensor can only be made within thirty (30) calendar days.

Payment; Reports. All royalty payments due under this Agreement shall be accompanied by a report setting forth, on a country-by-country basis, Net Sales of the Products by Licensee and its Affiliates and Sublicensees in the Licensee Territory in sufficient detail to permit confirmation of the accuracy of the royalty payment made, including, for each country, the number of Products sold, the gross sales and Net Sales of Products, including the deductions from gross sales to arrive at Net Sales, the royalty payable, the exchange rates used, any adjustments to the royalty paid during the Royalty Term pursuant to Section 8.5(c), and whether any Net Sales milestone under Section 8.4 has been achieved. Within [***] following the end of each Calendar Quarter during the Royalty Term and Extended Commercialization Term, Licensee shall provide Ovid with the foregoing report and the payment due for such Calendar Quarter. For clarity, royalty payments during the Extended Commercialization Term shall not be subject to any offsets or reductions whatsoever, including those set forth in Section 8.5(c). Prior to the First Commercial Sale of the Product in the Licensee Territory, the Parties will agree on the form of royalty report. Licensee shall submit a single report for all Net Sales during a Calendar Year, including all of Licensee’s and its Affiliates’ and Sublicensees’ Net Sales, but shall separately identify the Net Sales and other information applicable to each entity. The payment report shall be submitted to Licensor even if the license and support fees due is less than the prepayment fee set forth in Exhibit C. Partner shall submit the payment report electronically via a reporting tool made available by Licensor to Partner. Licensor will inform in writing Partner in case of change to the reporting format and Partner shall submit its payment reports under such new reporting format for all future quarterly reporting periods. Any changes or corrections to the reports submitted to Licensor can only be made within thirty (30) calendar days.
