Payment Report. All Royalties payable to Gilead under this Agreement shall be paid in U.S. dollars within sixty (60) days of the end of each Calendar Quarter or as otherwise specifically provided herein by Federal Reserve electronic wire transfer in immediately available funds to an account designated by Gilead. At the time of payment of Royalties, EyeTech shall send to Gilead a statement with respect to the applicable Calendar Quarter, country by country and Product by Product, for EyeTech, its Affiliates and sublicensees, of the amount of aggregate worldwide gross sales and Net Sales, the amount of gross sales during such Calendar Quarter, an itemized calculation of Net Sales showing deductions provided for in the definition of Net Sales and in Section 3.3(b), and, on a cumulative basis for the current Calendar Year, the amount of Royalties or other payments due on such sales.
Payment Report. After the date on which payments are due to Cephalon with respect to a Licensed Product under this Section 4.11, Ambit shall provide Cephalon with a payment report on a quarterly calendar basis within ninety (90) days after the end of the calendar quarter to which such report applies. Each such report shall state, separately for Ambit, and each Affiliate and Sublicensee, the number, description, and aggregate Net Sales or Net Revenues, as applicable, on a country-by-country basis and product-by-product basis, if applicable, generated or received during the calendar ***Confidential Treatment Requested quarter that is the subject of the report. Contemporaneously with the submission of the reports Ambit shall pay to Cephalon all payments due for the subject calendar quarter.
Payment Report. All amounts payable to either party under this Agreement shall be paid in U.S. dollars within [ ] of the end of each calendar quarter or as otherwise specifically provided herein. Each payment of royalties owing to Gilead shall be accompanied by a statement, on a country-by-country basis, of the amount of gross sales, an itemized calculation of Adjusted Gross Sales and Net Sales showing deductions provided for in Section 1.15 during such quarter, the amount of aggregate worldwide gross sales, Adjusted Gross Sales and Net Sales during such quarter and on a cumulative basis for the current year and the amount of Royalty or other payments due on such sales. If any Royalty reductions are claimed by Roche under this Agreement from the full rates set forth in Section 5.3(a), then the report shall set forth in detail the claimed reduction and the related facts.
Payment Report. Licensee, within sixty (60) days after June 30, and December 31 of each year, shall deliver to University true and accurate Payment Reports, giving such particulars of the business conducted by Licensee and its sublicensees with respect to the Licensed Products and Licensed Processes during the preceding six-month period under this Agreement EVEN IF NO PAYMENTS ARE DUE TO UNIVERSITY. These shall include at least the following: The name of the Licensee and the UA Identification Number for the Agreement; Names and addresses of any Affiliates or sublicensees whose activities are covered by the Payment Report; Quantity and identity of Licensed Products manufactured and sold by Licensee, and the specific Patent Rights used for each Licensed Product manufactured and sold by Licensee; Quantity and identity of Licensed Products manufactured and sold by each sublicensee, and the specific Patent Rights used to manufacture each product; Total receipts for Licensed Products sold by Licensee; Total receipts by Licensee for Licensed Products sold by each sublicensee; Receipts for all Licensed Processes used or sold by Licensee; Receipts for all Licensed Processes used or sold by each sublicensee; Itemized deductions applicable as provided in Article Error! Reference source not found.; Applicable royalty rate; Description of any completed Milestone and any fee payable; and Total royalties and other consideration due.
Payment Report. Payment Report. Following the First Commercial Sale of a Licensed Product, Gilead shall furnish to Achillion, within [**] following the end of each Calendar Quarter, a written report for such Calendar Quarter showing, for each Licensed Product, on a country-by-country basis, (A) the total amount invoiced by Gilead or its Related Gilead Parties for sales to a Third Party (whether an end-user, wholesaler or otherwise) in the Territory; (B) total Net Sales; (C) the calculation of the amount of any applicable offsets or limitations pursuant to Section 6.6; and (D) the calculation of royalties due. Gilead shall keep complete and accurate records in sufficient detail to enable the Royalties payable hereunder to be determined.

Payment Report. After each payment is made, Xxxxxx Medical, in response to a Funding Request Report, will provide to Plaintiffs’ Counsel and the Claims Administrator a report (a “Payment Report”), in the form attached hereto as Exhibit F, that will itemize Xxxxxx Medical’s payments by specific Eligible Claim and Payment Item, and thereby itemize credits against the total settlement amount of each Individual Settlement. Each Payment Report will also identify Payment Items removed from the corresponding Funding Request Report.
