Payment and Terms and Conditions. Prices quoted by Manufacturer shall be paid in U.S. Dollars and are Ex Works (Incoterms 2000) Manufacturer’s production facility in the United States. Distributor shall ensure that Products shipped are stored and handled in accordance with the specifications Manufacturer shall from time to time provide. Additional payment terms and conditions are set forth in Schedule 2 and may be modified by Manufacturer with a ninety (90) day prior notice. Manufacturer reserves the right at any time to undertake legal proceedings to recover overdue payments due from Distributor.

Payment and Terms and Conditions. Diners Club shall periodically invoice the Account Holder for each respective Account Payable. The invoicing and payment terms and conditions shall be based e.g. on information provided by the Account Holder given in conjunction with the Travel Account application. Invoicing methods and payment terms and conditions shall be subject to continuous assessment based on information provided, and may, where a deviation is detected, be modified in accordance with procedures applied by Diners Club at any given time. Account Payable must be made to Diners Club on the due date of the invoice at the latest. Diners Club shall round any sum to the nearest Euro cent. Any Account Payable will only be reduced by making payments and instalments in relation to it to Diners Club. Any payment arrangement agreed by the Account Holder with the Travel Agent or any third party shall not affect the Account Payable. If the Account Holder has paid more that the Accounts payable, the Account Holder shall, on Diners Club’s request, provide an explanation on the reason for the surplus payment. Diners Club shall also have the right to return such surplus amount.
