Payment and Delivery Terms. On the Closing Date (as defined below), (i) the Purchaser shall deliver the Purchase Price via wire transfer of immediately available funds in U.S. dollars to one or more accounts to be designated by the Seller in a notice to the Purchaser (which notice shall be delivered not later than three (3) days prior to the Closing Date) and (ii) the Seller shall transfer and deliver to the Purchaser, free and clear of all liens, the Purchased Shares.

The Shenzhen Airlines Aircraft Purchase is expected to have no material impact on the cash flow and operation of Shenzhen Airlines.

In addition, all requests for changes or corrections of any invoice must be made within one year of receipt of such invoice. Overdue invoice amounts shall accrue interest at the rate of 1½% per month or part thereof, and shall be payable together with such interest upon demand. Catalog terms are subject to change, and such change shall not require a written amendment hereto. Notwithstanding the terms of this Agreement, each order placed by Member shall be subject to acceptance by Xxxxxx Nutrition. If Member purchases directly from Xxxxxx Nutrition, it will have an approved credit application on file with Xxxxxx Nutrition.
