Common use of Patent License Clause in Contracts

Patent License. 2.1 Licensor hereby grants to Licensee, to the extent of the Licensed Territory and to the exclusion of Licensor, the sole and exclusive license to practice the Patents within the Field, including but not limited to the manufacture, use, importation and sale of Licensed Products and use of Licensed Processes.

Patent License. 2.1 Licensor hereby grants to LicenseeLicensee an exclusive, royalty-bearing, non-transferable license under the Licensed Patents to make, offer to sell, sell and export Licensed Products throughout the world, subject to the extent Field of Use Restrictions. This license shall not include the Licensed Territory and right to the exclusion of Licensor, the sole and exclusive license to practice the Patents within the Field, including but not limited to the manufacture, use, importation and sale of Licensed Products and use of Licensed Processesgrant sublicenses.

This license shall not include the right to grant sublicenses, without the prior written consent of Licensed Products and use of Licensed ProcessesLicensor; sublicenses to Licensee Affiliates may be granted without such consent, but must be notified to Licensor.
