Party Relationship. Both the GRANTEE and TWDB, in the performance of this CONTRACT, act in an individual capacity and not as agents, employees, partners, joint ventures or associates of one another. The employees or agents of one party will not be deemed or construed to be the employees or agents of the other party for any purposes whatsoever.

Neither the Dealer nor the Supplier shall be authorized to enter into any contract or obligation for or on behalf of the other or to bind the other in any way except as permitted under this Agreement. Neither party shall be liable in the event that its performance of this Agreement is compromised due to any act of God, industrial dispute, unavailability of transportation, goods or services, governmental restrictions, or action, war (whether declared or undiscovered) or other military action or other event, condition or Causes that are not foreseeable as of the effective date and are beyond the reasonable control of a party. It is expressly agreed that any failure by the United States Government to issue the required export license for a Supplier's product ordered by a Distributor shall constitute a Force Majeure Event. In the event of inefficiency or delay in performance for such reasons, the period for performance of the applicable obligation under this Agreement shall be extended for a period equal to the duration of the delay. However, the delayed party must make every effort to eliminate or overcome the cause of the delay without incurring any obligation to spend any significant sums not required under this Agreement. In the event that either party's performance is delayed for more than 6 months, the other party shall have the right to terminate this Agreement without liability for such termination, which shall be exercised for so long as the cause of such delay persists. 25.
Party Relationship. You and ClubReady are independent contractors and these API TOU does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. You shall not have any authority to assume or create any obligation for or on behalf of ClubReady, express or implied, and you shall not attempt to bind ClubReady to any contract without its express consent.

Neither party shall impose or create any obligation or responsibility, express or implied, or make any promises, representations or warranties on behalf of the other party, other than as expressly provided herein. In the event that Reseller elects to sell Motorola Radius Products or services to entities outside of the United States, Reseller does so solely at its own option and risk. Reseller remains solely and exclusively responsible for compliance with all statutes and regulations governing sales to foreign entities. These statutes include, but are not limited to those of the United States Government including United States export control law and those of the foreign entity involved, as well as those of certain international organizations whose function it is to regulate such sales, such as The Coordinating Committee for East West Trade. Radius makes no representations, certifications or warranties whatsoever with respect to the ability of its goods, services or prices to satisfy any such statutes or regulations. Failure of the Reseller to conduct any sales to foreign entities in strict accordance with all statutes and regulations of all governments and organizations involved shall constitute a material breach of this Agreement. The Radius Limited Warranty does not apply outside of the fifty United States and the District of Columbia.
