Parts and Tools. Implements, tools and machine parts used for maintenance purposes. Includes belts, hoses, screws, nuts, wire mesh steel, gauges and tubing. Housekeeping and Janitorial Supplies: All items used in the domestic upkeep of offices and laboratories, such as disinfectants, sanitizers, detergents, polishes, scrubbing brushes, brooms, mops and toiletries. IT Hardware: Includes computers, servers, word-processing equipment, printers, monitors, facsimile (FAX) machines, and copiers. IT Software: System and utility programs to facilitate use of computer hardware; e.g., software application packages, media conversion, assembly, compiler, translator and object programs. IT Supplies: Supplies such as thumb drives, compact disks (CDs), printer ribbons, cables, containers, reels, computer paper, tabulating paper and paper tape. Laboratory Supplies: All commodities not identified elsewhere in these definitions, normally consumed or expended during laboratory activity. Examples are clamps, filters, stopcocks, measures, stoppers, thermometers, plasticware and metalware. Media: Any liquid, gel or powder used to maintain and support cell growth and function. This includes microbiological media, bacteriological media, tissue culture media, plated media, tubed media, buffered salts and identification systems. Excludes sera. Medical and Laboratory Clothes: Disposable and non-disposable items of clothing and linen which are required exclusively by hospital operations or medical and dental facilities. Includes wearing apparel and protective clothing required for non-medical personnel. Medical/Scientific Equipment and Instruments: Instruments, implements and tools used for medical, dental and scientific purposes. Examples are ovens, water baths, spectrophotometers, pumps, centrifuges, analyzers and safety hoods. Includes related accessories. Medical, Veterinary and Surgical Supplies: Medical, veterinary and surgical supplies and materials used in laboratory and clinical research, including x-ray film, photographic film, catheters, ventilation tubes, precision forceps and precision scissors. Includes commodities for dental-related research. Excludes animal cages and bedding. Office Supplies: Supplies and materials normally intended for administrative or clerical use. Examples are standard forms, agency forms, envelopes, stationary, pens, folders, typing elements and notebooks. Excludes IT paper and supplies, copier paper and supplies and rubber stamps. Parts and Tools. Getronics has provided MAI with a schedule of Fixed Assets (Exhibit F) and a schedule of Consigned Parts and Consigned Tools (as those terms are defined in the Contract) (Exhibit G) currently located at BCP Systems in Placentia, California ("BCP") (a parts repair company used by Getronics). Getronics will instruct BCP in writing, with a copy to MAI, that MAI will be entitled to possession and control of all Fixed Assets, Consigned Parts and Consigned Tools listed on Exhibits F and G. Such Fixed Assets, Consigned Parts and Consigned Tools will be accepted by MAI on an "as is" basis with no representations or warranties by Getronics. Getronics also will provide MAI with lists of any Fixed Assets, Consigned Parts and Consigned Tools currently at any location other than BCP as such lists become available. Getronics will work with BCP to ensure that any such additional Fixed Assets, Consigned Parts and Consigned Tools are made available to MAI, and MAI will accept any such additional Fixed Assets, Consigned Parts and Consigned Tools on an "as is" basis with no representations or warranties by Getronics.

Parts and Tools. All existing smart Parts and Special Tools to be acquired by DVIUSA and all Parts and Special Tools of Non-continuing smart Dealers (the “Part Assets”) shall be shipped to smart USA’s Parts Distribution Center in Tulsa, Oklahoma either before or by a mutually agreeable date, not to exceed 30 day after Closing, at DVIUSA’s expense. DVIUSA and smart USA shall cooperate to inventory the Parts Assets and, DVIUSA shall arrange for shipment of the Parts Assets, at DVIUSA’s expense at a mutually agreeable date(s), not to extend beyond the date of the Subsequent Closing. DVIUSA will not be charged any storage charges for Parts and Special Tools during the interim period between Closing Date and the Subsequent Closing.

Parts and Tools. Company shall provide Operator an initial supply of spare parts, tools, supplies and consumables for each Facility, and all equipment, vehicles and operations manuals and procedures that are available for such Facility, and shall provide, consistently with the inventory lists prepared by Operator pursuant to Section 3.2(e), any additional spare parts, tools, supplies, consumables, equipment, vehicles and operations manuals and procedures.

  • Buyer Furnished Equipment 14.3.2.1 The Seller shall introduce data related to Buyer Furnished Equipment, for equipment that is installed on the Aircraft by the Seller (hereinafter “BFE Data”) into the customized Technical Data, at no additional charge to the Buyer for the initial issue of the Technical Data provided at first Aircraft Delivery, provided such BFE Data is provided in accordance with the conditions set forth in Clauses 14.3.2.2 through 14.3.2.6.

  • Machinery and Equipment Except for items disposed of in the ordinary course of business, all machinery, tools, furniture, fixtures, equipment, vehicles, leasehold improvements and all other tangible personal property (hereinafter “Fixed Assets”) of the Company currently being used in the conduct of its business, or included in determining the net book value of the Company on the Balance Sheet Date, together with any machinery or equipment that is leased or operated by the Company, are in fully serviceable working condition and repair. Said Fixed Assets shall be maintained in such condition from the date hereof through the Closing Date. Except as described on Schedule 4.14 hereto, all Fixed Assets owned, used or held by the Company are situated at its business premises and are currently used in its business. Schedule 4.14 describes all Fixed Assets owned by or an interest in which is claimed by any other person (whether a customer, supplier or other person) for which the Company is responsible (copies of all agreements relating thereto being attached to said Schedule 4.14), and all such property is in the Company’s actual possession and is in such condition that upon the return of such property in its present condition to its owner, the Company will not be liable in any amount to such owner. There are no outstanding requirements or recommendations by any insurance company that has issued a policy covering either (i) such Fixed Assets or (ii) any liabilities of the Company relating to operation of the Business, or by any board of fire underwriters or other body exercising similar functions, requiring or recommending any repairs or work to be done on any Fixed Assets or any changes in the operations of the Business, any equipment or machinery used therein, or any procedures relating to such operations, equipment or machinery. All Fixed Assets of the Company are set forth on Schedule 4.14 hereto.
