Partnership Committee. The SPS and SEA will create a partners committee consisting of 5 appointees of SPS and 5 appointees of the SEA. The purpose of the committee will be to address the issues of the achievement gap. There is not the luxury of time - each day that passes without every effort being made to insure that all students can reach the standards set by the SPS for every student to be able to know and do upon graduation is a breach of our collective responsibility to provide a quality education. The principles and beliefs set forth in the Preamble of this contract will guide the work of the committee. The Partnership Committee will:
Partnership Committee. (a) The Partnership shall be managed by a committee (the "Partnership Committee") comprised of representatives of the Partners. The Partnership Committee shall have authority over all Partnership actions, including, but not limited to, the "Major Decisions" set forth on Exhibit "9.1" to this Agreement.

Each member must commit to serve for a 12-month period. The parties will make their best efforts to assure that the Committee reflects racial and ethnic diversity. The purpose of the committee is to ensure racial equity in our educational system, unapologetically address the needs of students of color who are furthest from educational justice, and to undo the legacies of racism in our educational system, consistent with Board Policy No. 0030 – Ensuring Educational and Racial Equity. Partnership Committee. Upon execution of the final contribution agreement, the Ministers shall promptly establish a Partnership Committee to be co-chaired by two members, one of whom is to be appointed by the Federal Minister, and designated as Federal Co-Chair, and one of whom is to be appointed by the Provincial Minister, and designated as Provincial Co-Chair. This Partnership Committee shall:
Partnership Committee. (a) There shall be a Partnership Committee of JVCO composed of six individuals. Partnership Committee members shall be appointed by the Partners as follows: three members shall be appointed by WACS (the “WACS Representatives”), all of whom shall be employees of WACS or an Affiliate thereof and hold an executive position within WABCO’s automotive products group (except that there can be one non-Automotive executive serve as a WACS Representative provided that such person has received the prior approval of the other Partner), and three members shall be appointed by RBS (the “RBS Representatives”), all of whom shall be employees of RBS or an Affiliate thereof and hold an executive position within RIC’s Automotive Operations (except that there can be one non-Automotive executive serve as an RBS Representative provided that such person has received the prior approval of the other Partner). Partnership Committee members shall not be officers or employees of JVCO. Members of the Partnership Committee shall serve on the Partnership Committee without compensation from JVCO for such service and shall not be reimbursed by JVCO for their expenses for attending Partnership Committee meetings.
Partnership Committee. 9.1(a) Composition of the Committee. The Partnership shall be managed by a Partnership Committee composed of one Member representing each Partner. Each Partner shall designate its Member of the Partnership Committee, whose vote shall be based on that Partner's Ownership Interest. The Members of the Partnership Committee shall be designated by the Partners by notice to each other immediately after the Amended Partnership Effective Date, and the Members shall serve until their successors' designations shall become effective. A person may be designated by more than one Partner as a Member to represent each such Partner and such Member shall be regarded as representing more than one Partner for purposes of a required quorum under Section 9.4.
Partnership Committee. 4.6 Once there are ten (10) Contributing Participants and ten (10) Implementing Country Participants in the Partnership Assembly, the Partnership Assembly may consider establishing a Partnership Committee to perform the functions identified in Section 4.3(c) above and other functions as may be designated by the Partnership Assembly.

Partnership Committee. (a) The partnership committee of the Partnership (the "Partnership Committee") shall be vested with the full authority of the General Partners and shall be composed of four individuals appointed by the ATI RP and three individuals appointed by the other Representative Partner(s) (collectively the "Members" and individually a "Member"), or in each case, such lesser number of Members as may be determined by a vote of Members representing each Group. In the event, and as long as, there are only two Representative Partners, the Representative Partners shall appoint one additional individual (the "Independent Member") to serve on the Partnership Committee as set forth in subsection (b) below.
