Participation Plan. The Policy Board shall adopt and maintain a formal, written Public Participation Plan. The Participation Plan shall provide reasonable opportunity for involvement with all interested parties in carrying out the metropolitan area’s transportation planning and programming process, providing reasonable opportunities for preliminary review and comment especially at key decision points. Initial or revised participation plan procedures shall undergo a minimum 45 day draft public review and comment period. The Participation Plan will be published and available on the MPO’s website. The State may assist, upon request of the MPO and on a case by case basis, in the provision of documents in alternative formats to facilitate the participation of persons with limited English proficiency or visual impairment. The MPO also shall, to the extent practicable, develop and follow documented process(es) that at least outline the roles, responsibilities and key points for consulting with adjoining MPOs, other governments and agencies and Indian Tribal or federal public lands regarding other planning activities, thereby ensuring compliance with all sections of 23 CFR 450.316. The process(es) shall identify procedures for circulating or providing ready access to draft documents with supporting materials that reference, summarize or detail key assumptions and facilitate agency consultations, and public review and comment as well as provide an opportunity for MPO consideration of such comments before formal adoption of a transportation plan or program.
Participation Plan. The Employee may be given the opportunity by uniQure N.V. to participate in the growth of the Group pursuant to a participation plan such as, for instance, an employee share option plan or a share plan, and as amended from time to time (the Participation Plan). It is in the full discretion of uniQure N.V. to issue and/or to unilaterally amend such Participation Plan at any time. The Employee expressly acknowledges that the Employee does not have any right or claim under the Participation Plan against the Company, but only against uniQure N.V. or the Group Company issuing the Participation Plan. The Employee also confirms that any participation in the Participation Plan does not constitute an employment relationship with uniQure N.V. or the issuing Group Company.

The Participation Plan shall provide information on the core team of companies, including small and large businesses, and the areas of responsibility for each of the companies on the core team. The Contractor shall include a description of each company along with their socio-economic status. Special emphasis shall be provided in the Participation Plan regarding the use of small businesses. In this regard, the Participation Plan shall: • Identify the functions and performance areas to be subcontracted to large businesses. • Identify the functions and performance areas to be subcontracted to small businesses. • Provide a description of each company on the core team, their socio-economic status, and their experience in their area of responsibility. • Describe the offeror’s planned management team organizational structure for the 2020 Census Integrated Communications Contract, keeping in mind the large numbers of staff involved from the Contractor, the core team of companies, and other subcontractors, and from various Census Bureau groups. Include individuals’ authority, roles, responsibilities, and internal reporting relationships. • Include any other information on core team companies that the offeror believes will be of interest to the Government in evaluating the Participation Plan. The government expects to see small businesses identified as part of the core team with responsibility for essential tasks (or criteria components of work) in the contract in order to provide valuable opportunities for small business concerns. Prior to the Closing, the Company shall have taken all necessary corporate action to terminate, effective immediately prior to the Closing and contingent upon the consummation of the Transactions, the Participation Plan in a manner such that the sole liability shall be the Participation Plan Cost.

(a) The Western Australian Jobs Xxx 0000 (WA) and the WAIPS made under it contain obligations for agencies to require from prospective suppliers, and to assess, participation plans in connection with the supply of goods or services to or for agencies or the State of Western Australia.

Employee initially will be eligible to participate in a Carried Interest Participation Plan (“Participation Plan”) under such terms and conditions as determined by the Company at its discretion which will be subject to a number of customary conditions and restrictions, including vesting periods and employment tenure, to be further defined in the aforementioned Participation Plan. Employee’s continued participation in the Participation Plan, and the amount(s) to which his will be eligible to receive thereunder, shall be subject to the Company’s sole discretion. Amounts payable under the Participation Plan shall be subject to all required withholdings.

Employee will initially be eligible to participate in an annual Carried Interest Participation Plan (“Participation Plan”) under such terms and conditions as determined by the Company at its discretion which will be subject to a number of customary conditions and restrictions, including vesting periods and employment tenure, to be further defined in the aforementioned Participation Plan. Employee’s continued participation in the Participation Plan, and the amount(s) to which his will be eligible to receive thereunder, shall be subject to the Company’s sole discretion. Amounts payable under the Participation Plan shall be subject to all required withholdings. Employee will also be eligible to participate in any discretionary bonus, short-term and long-term cash incentive compensation plans and such other management incentive programs or arrangements of the Company approved by the Board that are generally available to the Company’s senior executives on terms and conditions generally consistent with those afforded other senior executives.
