Common use of Participation in Benefit Plans Clause in Contracts

Participation in Benefit Plans. Executive shall be included to the extent eligible thereunder in any and all plans of the Company providing benefits for the Company’s executives, including, but not limited to, medical, retirement and disability plans. Executive’s participation in any such plan or program shall be subject to the Company’s policies and the provisions, rules, and regulations applicable to any plans. Nothing in this Agreement shall impose on the Company any affirmative obligation to establish any benefit plan. The Company reserves the right to prospectively terminate or change benefit plans and programs it offers to its employees at any time.

Participation in Benefit Plans. During the Term, the Executive shall be included entitled to the extent eligible thereunder receive all perquisites and participate in any and all plans of the Company providing benefits for the Company’s executives, including, but not limited to, medical, retirement and disability plans. Executive’s participation in any such plan or program shall be subject to the Company’s policies and the provisions, rules, and regulations applicable to any plans. Nothing in this Agreement shall impose on the Company any affirmative obligation to establish any benefit plan. The Company reserves the right to prospectively terminate or change benefit plans and programs it offers maintained by the Company that are available generally to its employees at any senior leadership team; provided, however, that the Executive’s right to participate in such plans and programs shall not affect the Company’s right to amend or terminate the general applicability of such perquisites, plans and programs. The Company may, in its sole discretion and from time to time, amend, eliminate or establish additional benefit programs as it deems appropriate.

Participation in Benefit Plans. If applicable, the Executive shall be included entitled to participate in the extent eligible thereunder in any Company's insurance plans, deferred compensation plan, stock option plan, retirement income or pension plan, short- and all plans long-term disability programs, or other present or future group employee benefit plan or program of the Company providing benefits for the Company’s executives, including, but not limited to, medical, retirement and disability plans. Executive’s participation in any such plan or program which executives shall be subject to the Company’s policies and the provisions, rules, and regulations applicable to any plansbecome eligible. Nothing contained in this Agreement shall impose on prevent the Company Board of Directors from amending, terminating or otherwise altering any affirmative obligation to establish any benefit such plan. The Company reserves , program or arrangement as long as such amendment or alteration equitably affects all executive officers of the right to prospectively terminate or change benefit plans and programs it offers to its employees at any timeCompany.

While he is employed by the Company, the Executive shall also be included eligible to participate in all Executive benefit plans or programs (including vacation time) of the Company to the extent eligible thereunder in that the Executive meets the requirements for each individual plan. The Company provides no assurance as to the adoption or continuance of any particular Executive benefit plan or program, and all plans of the Company providing benefits for the Company’s executives, including, but not limited to, medical, retirement and disability plans. Executive’s participation in any such plan or program shall be subject to the Company’s policies and the provisions, rules, rules and regulations applicable to any plans. Nothing in this Agreement shall impose on the Company any affirmative obligation to establish any benefit plan.
