Participation Arrangements. Any one or more directors may participate in and vote at Board meetings by means of a telephone conference or any communication equipment which allows all persons participating in the meeting to communicate to the others any information or opinions they have on any particular item of business of the meeting. Any director so participating in a Board meeting shall be deemed to be present in person and shall be counted towards the quorum.
