Participating Settlement Class Members. Every member of the FLSA Class is deemed a Participating Settlement Class Member. In accordance with the terms of this Settlement Agreement, only Participating Settlement Class Members will receive any money in connection with this Settlement.

Participating Settlement Class Members. (C) The Service Payment will be treated as non-wage income, and the Claims Administrator will issue a Form 1099 to Plaintiff reflecting the value of the payment.
Participating Settlement Class Members. Simultaneously, the Claims Administrator shall compile, make a copy, and transmit all originals of the Release portion of the Claim Forms to Rite Aid’s counsel. In addition, at such time, the Claims Administrator shall submit to the Court a declaration verifying full compliance with the Final Approval Order and this Agreement. Should the Agreement not receive Final Approval, the consent to join forms and releases are void.

Participating Settlement Class Members. Upon entry of final judgment and payment tendered by Defendant of the Gross Settlement Amount, all Participating Settlement Class Members shall release Defendant and the Released Parties from all class claims pled or could have been pled based on the factual allegations contained in the operative complaint which occurred during the Settlement Class Period including any claims, demands, lawsuits, administrative actions, arbitrations, and participation to any extent in any pending or future class, collective, or representative actions, or other action of any kind based on the factual allegations contained in the operative complaint which occurred during the Settlement Class Period (“Released Class Claims”). The Released Class Claims expressly exclude claims for vested benefits, wrongful termination, unemployment insurance, disability, social security, workers’ compensation, class claims outside of the Settlement Class Period and PAGA claims outside of the PAGA Period, and all other claims not covered by the Released Class Claims.
Participating Settlement Class Members. The Parties shall agree upon the proposed recipient(s) of the Cy Pres Distribution and shall submit a filing to the Court identifying such proposed recipient(s). The Cy Pres Distribution shall be made equally among the recipients designated by the Parties, subject to approval by the Court. If, for any reason, the Parties and/or the Court determine that one or more proposed recipients are not or are no longer appropriate recipients, the Parties shall agree on replacement recipient(s) of such monies, subject to Court approval.

  • Settlement Class Members “Settlement Class Members” shall mean all persons in the Class who do not exclude themselves pursuant to Section F, herein, and those who submit a Valid Claim.

  • Notice to Settlement Class Members 5.1 The Parties agree that the following Notice Program provides reasonable notice to the Settlement Class.

As to the requirements of Rule 23(a) for settlement purposes only, (i) the Settlement Class provisionally certified herein likely exceeds 100,000 individuals, and joinder of all would be impracticable; (ii) there are questions of law and fact common to the Settlement Class; (iii) Class Representatives’ claims are typical of the claims of the Settlement Class they seek to represent for purposes of settlement; and (iv) Class Representatives are adequate representatives of the Settlement Class. As to the requirements of Rule 23(b)(3) for settlement purposes only, questions of law and fact common to the Settlement Class predominate over any questions affecting any individual Settlement Class Member, and a class action on behalf of the Settlement Class is superior to other available means of settling and disposing of this dispute.

  • Payments to Settlement Class Members (a) Defendant shall pay into the Escrow Account the amount of the Settlement Fund ($1,000,000.00), specified in Paragraph 1.33 of this Agreement, within sixty (60) days after Final Approval.

The Settling Parties’ agreement to the certification of the Settlement Class is also without prejudice to any position asserted by the Settling Parties in any other proceeding, case or action, as to which all of their rights are specifically preserved.

  • Notice to Class Members 8.4.1 No later than three (3) business days after receipt of the Class Data, the Administrator shall notify Class Counsel that the list has been received and state the number of Class Members, PAGA Members, Workweeks, and Pay Periods in the Class Data.

  • Certification of Settlement Class Promptly after execution of the Settlement Agreement, Class Counsel will ask the Court to issue an order certifying the Settlement Class for settlement purposes only. Xxxxx agrees not to object to this request without waiver of its right to contest certification or the merits of the Lawsuit if the settlement does not receive final approval or the Effective Date (defined in paragraph 14 below) does not occur.
