Common use of Partial Payment Clause in Contracts

Partial Payment. If the assets of the Corporation are not sufficient to pay in full the liquidation preference plus any authorized, declared and unpaid dividends to all holders of Series C Preferred Stock and all holders of any Parity Stock, the amounts paid to the holders of Series C Preferred Stock and to the holders of all Parity Stock shall be paid pro rata in accordance with the respective amounts that would be payable on such shares if all amounts payable thereon were paid in full.

Partial Payment. If the assets of the Corporation are not sufficient to pay in full the liquidation preference plus any authorized, declared and unpaid dividends to all holders of Series C [H] Preferred Stock and all holders of any Parity Stock, the amounts paid to the holders of Series C [H] Preferred Stock and to the holders of all Parity Stock shall be paid pro rata in accordance with the respective amounts that would be payable on such shares if all amounts payable thereon were paid in full.

If the assets of the Corporation are not sufficient to pay in full the liquidation preference plus any authorized, declared Liquidation Preference determined as of the payment date and unpaid dividends all Accrued Dividends with respect to the payment date to all holders of Series C Preferred Stock A and all holders of any Parity Stock, the amounts paid to the holders of Series C Preferred Stock A and to the holders of all Parity Stock shall be paid pro rata in accordance with the respective amounts that would be payable on aggregate liquidation preferences of Series A and all such shares if all amounts payable thereon were paid in fullParity Stock.

If the assets of the Corporation are not sufficient to pay in full the liquidation preference plus any authorized, declared and unpaid dividends Liquidation Preference to all holders of Series C BB Preferred Stock and all holders of any Parity Stock, the amounts paid to the holders of Series C BB Preferred Stock and to the holders of all Parity Stock shall be paid pro rata in accordance with the respective amounts that would be payable on aggregate liquidation preference of Series BB Preferred Stock and all such shares if all amounts payable thereon were paid in fullParity Stock.

Partial Payment. If the assets of the Corporation are not sufficient to pay in full the liquidation preference plus any authorized, declared and unpaid dividends in full to all holders of Series C D Preferred Stock and all holders of any Parity Stock, the amounts paid to the holders of Series C D Preferred Stock and to the holders of all Parity Stock shall be paid pro rata in accordance with the respective amounts that would be payable on aggregate liquidation preferences plus any declared and unpaid dividends, including any accumulations, of Series D Preferred Stock and all such shares if all amounts payable thereon were paid in fullParity Stock.
