PART OF CONSIDERATION. Employee also agrees, acknowledges, covenants, represents and warrants that he is fully and completely aware that, and further understands that, the restrictive covenants contained in Sections 8, 9, and 10 of this Agreement are an essential part of the consideration for the Company entering into this Agreement and that the Company is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. The Executive also agrees, acknowledges, covenants, represents and warrants that he/she is fully and completely aware that, and further understands that, the foregoing restrictive covenants are an essential part of the consideration for the Company entering into this Agreement and that the Company is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. Consultant also agrees, acknowledges, covenants, represents and warrants that he is fully and completely aware that, and further understands that, the restrictive covenants contained in Section 6 of this Agreement and in the Intellectual Property, Confidentiality and Non-Competition Agreement dated August 5, 2004 between the Company and the Consultant (the “IP Agreement”) which is incorporated herein are an essential part of the consideration for the Company entering into this Agreement and that the Company is entering into this Agreement in full reliance on such acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. Employee also agrees, acknowledges, covenants, represents and warrants that he is fully and completely aware that, and further understands that, the foregoing restrictive covenants are an essential part of the consideration for Hadco entering into this Agreement and that Hadco is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. Jeffries also agrees, acknowledges, covenants, represents and warxxxxx xhat he is fully and completely aware, and further understands, that the foregoing restrictive covenants are an essential part of the consideration for Company entering into this Agreement and that Company is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. Employee also agrees, acknowledges, covenants, represents and warrants that he is fully and completely aware that, and further understands that, the foregoing restrictive covenants are an essential part of the consideration for Vitrix entering into this Agreement and for Vitrix entering into the Stock Agreement and that Vitrix is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. Employee also agrees, acknowledges, covenants, represents and warrants that he is fully and completely aware that, and further understands that, the foregoing restrictive covenants are an essential part of the consideration for Continental entering into this Agreement and that Continental is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
PART OF CONSIDERATION. Kloehr also agrees, acknowledges, convenants, represents and warrants that he is fully and completely aware that, and further understands that, the foregoing restrictive covenants are an essential part of the 7 7 consideration for Unison entering into this Agreement and that Unison is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.

Fields also agrees, acknowledges, convenants, represents and warrants that he is fully and completely aware, and further understands, that the foregoing restrictive covenants are an essential part of the consideration for Unison entering into this Agreement and that Unison is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.

Margalit also agrees, acknowledges, convenants, represents and warrants that he is fully and completely aware, and further understands, that the foregoing restrictive covenants are an essential part of the consideration for Unison entering into this Agreement and that Unison is entering into this Agreement in full reliance on these acknowledgments, covenants, representations and warranties.
