Paragraph 3. 4.3 of Section 3.4 of the Agreement is deleted and replaced in its entirety with the paragraph 3.4.3 below:
Paragraph 3. 7.1 above shall not apply to a residential caretaker unless the callback results from an emergency and is of at least 30 minutes duration.

Paragraph 3. The following is added as a new sub-paragraph (i) to Paragraph 3:

The following sentence is added at the end of the ----------- paragraph: "Notwithstanding the foregoing, Licensor shall not have the right to terminate the Agreement as a result of the failure of Licensee to meet the Minimum Net Sales Requirements during any Year if Licensee has (a) paid the full GMR for that Year, and (b) Licensee has generated Net Sales equal to at least eighty percent (80%) of the Minimum Net Sales Requirements."
Paragraph 3. The Concessionaire shall agree to offer to users its Alternative National Long-Distance Services Plans, on a equitable basis and subject to the terms defined by the Concessionaire.
