Paid-Up License. Upon expiration of any extension hereof under option (a) above or expiration of any one-half royalty patent license under (b) above, Licensee shall have a fully paid-up and perpetual license on the terms set forth herein to use Technology to the same extent as Licensee has been licensed to use Technology immediately prior to such expiration. Said paid-up license shall be as follows:
Paid-Up License. Upon the expiration of Pfizer's obligation to pay royalties on Net Sales of Licensed Products as provided in Section 3.7.1, the license granted in Section 5.3.1 shall become an irrevocable, nonexclusive paid-up license.
Paid-Up License. Following expiration of the Agreement pursuant to Section 13.1 hereof, BMI and/or its Sublicensee(s) as applicable, shall have a perpetual, fully paid up non-exclusive license under the rights granted.
Paid-Up License. Pfizer will have a paid-up, royalty free, non-exclusive license under the grant in Section 6.5 to manufacture, use, sale, offer for sale and import any Product in a country after the expiration of the Royalty Term applicable to such Product in such country.
Paid-Up License. Upon expiration of Amgen's obligation hereunder to pay a Royalty on Net Sales of a Compound in a country, Amgen shall have a fully paid unrestricted license to make, use and sell such Compound in the Field of Use in that country.
Paid-Up License. For each country, upon expiration of DPM's obligation to pay royalties hereunder with respect to a Product, DPM shall have a fully paid-up, non-exclusive license under any Signal Know-How or Signal Patent Rights, to make, have made, use, sell, offer for sale and import the applicable Product in that country.
Paid-Up License. Upon the expiration of the Royalty Term applicable to any Licensed Product in a country, subject to Alnylam Third Party Obligations, Licensee’s and its Affiliates’ licenses under Section 2.1(a) with respect to such Licensed Product in such country shall become a fully paid-up, royalty-free license, with the right to sublicense, to Discover, Develop, Commercialize or Manufacture such Licensed Product in such country.
Paid-Up License. Upon expiration of the Royalty Term in any country with respect to a Product (unless such Royalty Term is reinstated as provided in Section 1.42), the selling party shall thereafter have, in perpetuity, a fully paid-up and irrevocable non-exclusive license to make, have made, import, use, offer to sell and sell such Product in such country under the Icagen Technology or Xxxxxx Technology, as the case may be, and Icagen’s interest in Joint Patent Rights and Joint Program Inventions or Xxxxxx’x interest in Joint Patent Rights and Joint Program Inventions, as the case may be, without any accounting to the non-selling party.
Paid-Up License. For each country, upon expiration of LICENSEE's obligation to pay royalties pursuant to Section 4.1, LICENSEE shall have a fully paid-up, non-exclusive license under any Know-How, to make, have made, use and sell Licensed Product in that country.
Paid-Up License. Unless earlier terminated as described in Section 11 of this License Agreement, Pfizer will have a paid-up license permitting royalty-free manufacture, use, sale, offer for sale and import of Products in a country after the end of Pfizer’s last obligation to pay royalties on the Net Sales of Product in the country on a Product-by-Product basis.
