Ownership Rights Reserved. Except as expressly provided for in SECTION 2.2.1, V-ONE shall not make modifications to, distribute, sublicense, decompile, reverse engineer or otherwise decode or alter the Citrix Products. No title, ownership or intellectual property rights to the Citrix Product including, without limitation, all copyrights, trade secrets and any other intellectual property and proprietary rights, and all copies thereof, are transferred to V-ONE under this Agreement. This Agreement does not grant V-ONE any proprietary rights in or to the Citrix Product.
Ownership Rights Reserved. Citrix shall not have any right, title or interest in the Marks. V-ONE represents and Citrix acknowledges that V-ONE or its third party licensors owns the Marks and agrees that, at any time during or after the termination of this Agreement, Citrix shall not assert, claim any interest in or engage in any activity that may adversely affect the validity of the Marks.

Except as expressly granted hereunder, no other rights, licenses, title or ownership of Intellectual Property Rights to the Software and Documentation or any copy, translation, compilation or other derivative work are transferred or granted to MetroPCS hereunder, and title and ownership to such Software and Documentation shall remain with Supplier. Promptly following MetroPCS’ request, Supplier shall provide to MetroPCS any information that is reasonably necessary to enable MetroPCS to create interoperability between the Software licensed hereunder and other products, software or systems. MetroPCS shall not disassemble, reverse compile, reverse engineer or otherwise translate the Software licensed hereunder; provided, however, that MetroPCS may reverse engineer or decompile the Software: (a) to the extent permitted by applicable Laws, if Supplier fails to provide to MetroPCS promptly following MetroPCS’ request any information that is reasonably necessary to enable MetroPCS to create interoperability between the Software licensed hereunder and other products, software or systems provided that any use by MetroPCS shall be restricted to the uses permitted under Section 3.1.1; and (b) for any other purposes to which Supplier consents
Ownership Rights Reserved. The parties acknowledge that all rights in and to the Xxxx and graphic representations thereof are and shall remain vested in Licensor, and that all rights accruing from Licensee’s use of the Xxxx shall inure to Licensor.

No title or ownership of intellectual property rights in and to the Licensed Product, TAL Data and related documentation or any copy, translation, compilation or other derivative works are transferred to Subscriber or any third party hereunder. Subscriber agrees that unauthorized copying or disclosure of the Licensed Product or TAL Data or other intellectual property of TAL will cause great damage to TAL, which damage far exceeds the value of the copies or information involved. Subscriber shall not, and shall not attempt to, assign, pledge, encumber, sell or otherwise transfer to any third party the Licensed Product, TAL Data or related documentation. Subscriber shall keep the Licensed Product, TAL Data and other intellectual property of TAL free and clear of any and all liens, levies and encumbrances.

Subscriber hereby acknowledges and agrees that, as between Subscriber and Provider and except as otherwise expressly set forth in this Agreement, all worldwide right, title and interest in and to the Service, Software, Licensed Data, Provider Site, Documentation and related materials (including all modifications, alterations and enhancements thereto and derivative works thereof) and all copies thereof, including all Intellectual Property Rights in or related to any of the foregoing are and shall remain the exclusive property of Provider and its Suppliers. Subscriber hereby acknowledges and agrees that the Service, Software, Licensed Data, and Documentation are licensed to Subscriber, not sold. Except for the rights expressly granted in Article 3, Subscriber shall have no rights to or other interests in the Service, Software, Licensed Data or Documentation. As between Subscriber and Provider, Provider will own all right, title and interest in and to any and all data that Provider (a) generates in connection with the operation of the Provider Site and/or provision of the Service, or (b) derives or aggregates from any Subscriber Data. Provider hereby expressly reserves all rights not explicitly granted to Subscriber under this Agreement.

Customer acknowledges and agrees that, as between Customer and RJH, all intellectual property rights, including without limitation all worldwide right, title and interest in and to the Service, Compliance Portal, Documentation and related materials (including all modifications, alterations and enhancements thereto and derivative works thereof) and all copies thereof, including all trademarks, service marks, patents, copyrights, trade secrets, designs, algorithms and all other intellectual property, industrial property and proprietary rights in or related to the Service, Compliance Portal and Documentation, are and shall remain the exclusive property of RJH and its Suppliers. Except for the rights expressly granted in Section 6.2, Customer shall have no rights to or other interests in the Service, Compliance Portal or Documentation. RJH reserves all rights not explicitly granted to Customer under this Agreement.

No title or ownership of intellectual property rights in and to the Licensed Product, TAL Data and related documentation or any copy, translation, compilation or other derivative works, or the Xxxxxxxx Network, are transferred to Licensee or any third party hereunder. Licensee agrees that unauthorized copying or disclosure of the Licensed Product or TAL Data or other intellectual property of Xxxxxxxx may cause great damage to Xxxxxxxx, which damage is likely to far exceed the value of the copies or information involved. Licensee shall keep its license to use the Licensed Product and to access the Xxxxxxxx Network and other property of Xxxxxxxx and the Sources free and clear of any and all liens, levies and encumbrances. As between Licensee and Xxxxxxxx, Licensee shall own the transaction data entered into the Xxxxxxxx Network by Licensee (collectively, the "Transaction Data") and all intellectual property rights therein. Licensee grants Xxxxxxxx a non-exclusive, perpetual, royalty-free, worldwide, irrevocable and transferable license to (i) transmit, communicate, post, display, distribute and use the Transaction Data on and in connection with the Xxxxxxxx Network, (ii) report or make available the Transaction Data to any judicial, legislative, governmental, regulatory or self-regulatory authority or organization as may be required by law, (iii) aggregate and compile the Transaction Data together with the data of other participants, and perform analytics on, data mine and create other derivative works from such Transaction Data (collectively, the "Derivative Data"), and (iv) use, distribute, sell, license, sublicense and otherwise disseminate the Transaction Data; provided, however, that, except as required by law or consented to by Licensee, Xxxxxxxx shall not provide to any third party any Transaction Data that is not aggregated with the data of other participants, or that in any way identifies (directly or indirectly) Licensee or any Customer on whose behalf Licensee entered into or initiated a transaction via the Xxxxxxxx Network. As between Xxxxxxxx and Licensee, Xxxxxxxx shall have exclusive ownership of and title to the Derivative Data and all intellectual property rights therein, notwithstanding that any such Derivative Data might be derived from the Transaction Data; provided, however, that, except as required by applicable law or consented to by Licensee, Xxxxxxxx shall not provide to any third party any Derivative Data that identifies (directly o...

No title or ownership of intellectual property rights to the Software and Documentation or any copy, translation, compilation or other derivative work are transferred to Allegiance hereunder, and title and ownership to such Software and Documentation shall remain with Lucent. Allegiance shall not disassemble, reverse compile, reverse engineer or otherwise translate the Software licensed hereunder; provided, however, that Allegiance may reverse engineer or decompile the Software for the purpose of creating an interoperable computer program. *
