Common use of Ownership of the Stock Clause in Contracts

Ownership of the Stock. Shareholders own, beneficially and of record, good and valid title to the Stock, which constitutes all of the issued and outstanding capital stock of the Corporation, free and clear of all security interests, liens, adverse claims, encumbrances, equities, proxies, options or shareholders' agreements. At the Closing, Shareholders will convey to Purchaser good and valid title to all of the issued and outstanding capital stock of the Corporation, free and clear of any security interests, liens, adverse claims, encumbrances, equities, proxies, options, shareholders' agreements or restrictions.
